RESOLUTION MODIFYING VARIOUS APPOINTMENTS TO THE PASSAIC COUNTY IMPROVEMENT AUTHORITY, PURSUANT TO N.J.S.A. 40:37A-46, ET SEQ.

WHEREAS, the County of Passaic (“County”) is a body politic and corporate pursuant to N.J.S.A. 40:18-1 and vested with all rights contained therein; and
WHEREAS, pursuant to N.J.S.A. 40:20-1, the Board of County Commissioners of the County of Passaic (“Board”) is vested with managing the property, finances, and affairs of the County; and
WHEREAS, pursuant to the County Improvement Authorities Law, N.J.S.A. 40:37A-44, et seq., the Board created the Passaic County Improvement Authority (“PCIA”); and
WHEREAS, in accordance with N.J.S.A. 40:37A-46, the PCIA shall consist of five (5) members who shall be residents of the County and who shall be appointed by resolution of the Board; and
WHEREAS, pursuant to N.J.S.A. 40:37A-48, after initial appointments, the Board may appoint members to the PCIA for a five (5) year term, expiring February 1st of the fifth year; and
WHEREAS, pursuant to N.J.S.A. 40:37A-51, members of the PCIA shall serve without compensation, but the PCIA may reimburse its members for necessary expenses incurred in the discharge of their duties; and
WHEREAS, on October 13, 2020, the Board passed Resolution No. R20200817, appointing Michael Glovin to the PCIA for a five (5) year term, expiring on October 13, 2025; and
WHEREAS, on February 23, 2021, the Board passed Resolution No. R20210147, reappointing Dennis Marco to the PCIA for a five (5) year term, commencing March 1, 2021 and expiring March 1, 2026; and
WHEREAS, on February 28, 2023, the Board passed Resolution No. R-23-0163, reappointing Michael Ramaglia to the PCIA for a five (5) year term, commencing March 26, 2023 and expiring March 25, 2027; and
WHEREAS, to ensure compliance with the County Improvement Authorities Law, N.J.S.A. 40:37A-44, et seq., it is necessary to modify the expiration dates of the aforementioned appointments; and
WHEREAS, this matter was discussed at the May 8, 2024 Administration & Finance Committee meeting, and is being recommended to the Board for approval; and
NOW, THEREFORE, LET IT BE RESOLVED, pursuant to N.J.S.A. 40:37A-46, et seq., the Board of County Commissioners of the County of Passaic hereby modifies the appointments of Michael Glovin, Dennis Marco and Michael Ramaglia to the Passaic County Improvement Authority, as follows:

LET IT BE FURTHER RESOLVED, that pursuant to N.J.S.A. 40:37A-48, the Clerk of the Board shall send a certified copy of this Resolution to the New Jersey Secretary of State.
LET IT BE FURTHER RESOLVED, that the Clerk of the Board, County Counsel, County Administrator, and Director of the Board are authorized to take any action necessary to carry out the purpose of this Resolution.
