RESOLUTION TO EXTEND A CONTRACT WITH CINTAS OF PHILADEPHIA FORMERLY KNOWN AS CLEAN RENTAL UNIFORMS FOR SUPPLY AND CLEAN UNIFORMS FOR VARIOUS COUNTY DEPARTMENTS, PURSUANT TO N.J.S.A. 40A:11-15

WHEREAS, the County of Passaic (hereafter “County”) is a government body incorporated pursuant to N.J.S.A. 40:18-1, et seq. and vested with all rights contained therein; and
WHEREAS, pursuant to N.J.S.A. 40:20-1 the Passaic Board of County Commissioners (hereafter “Board”) is vested with decision-making powers on behalf of the County; and
WHEREAS, pursuant to N.J.S.A. 40A:11-4, et seq., for every contract awarded by the County for the provision or performance of any goods or services, the cost of which in the aggregate exceeds the bid threshold established pursuant to N.J.S.A. 40A:11-3, shall be awarded by resolution of the Board to the lowest responsible bidder after public advertising for bids and bidding thereof; and
WHEREAS, on June 1, 2021, the Purchasing Agent issued SB-21-048 (hereafter “SB-21-048”), Passaic County Uniform Rental Bid, seeking sealed proposals from qualified bidders for Passaic County Uniform Rental Bid; and
WHEREAS, the lowest responsible bidder to SB-21-048 was Cintas of Philadelphia formerly known as Clean Rental Uniforms, Inc.; and
WHEREAS, on July 20, 2021, the Board passed Resolution No. R20210692, authorizing an award of contract to Cintas of Philadelphia formerly known as Clean Rental Uniforms, Inc., to supply and clean uniforms services for various departments, for a term beginning on August 1, 2021, and expiring on July 31, 2024, in an amount not to exceed two hundred fifty-nine thousand nine hundred thirteen dollars and sixteen cents ($259,913.16); and
WHEREAS, on September 8, 2021, the Board passed Resolution R20210831, acknowledging the vendor’s name change from Clean Rental to Cintas pursuant to N.J.S.A. 40:20-1 et seq.
WHEREAS, the Director of Parks & Recreation is recommending that the Board authorize a 60-day extension of the contract through September 30, 2024, to Cintas of Philadelphia formerly known as Clean Rental Uniforms, Inc., to supply and clean uniforms services for various departments in an amount not to exceed fourteen thousand four hundred forty dollars ($14,440.00); and
WHEREAS, pursuant to N.J.S.A. 40A:11-15, a contract may be extended by mutual agreement of the parties to the contract when a contracting unit has commenced rebidding prior to the time the contract expires; and
WHEREAS, on June 21, 2024, Cintas of Philadelphia, PA executed the extension letter, attached hereto and made part of this Resolution, consenting to a 60-day extension of the contract awarded under SB-21-048, to supply and clean uniforms for various County Departments from August 1, 2024 to September 30, 2024, while all terms and conditions set forth in SB-21-048 shall remain in full force and effect until expiration of the Agreement; and
WHEREAS, pursuant to N.J.A.C. 5:30-11.10, the County is permitted to increase the award amount under contracts competitively bid pursuant to N.J.S.A. 40A:11-4, where such agreements are deemed open-end contracts, as is the case here; and
WHEREAS, funds are available in Various Account - County Wide Contract or any other account that may be deemed appropriate by the Chief Financial Officer or his designee, and the availability of funds has been contingently certified by the Chief Financial Officer subject to sufficient funds being appropriated by the Board in the 2024 and/or subsequent years’ County budget (s), which is attached to and made part of this Resolution; and
WHEREAS, this matter was discussed at a meeting on July 3, 2024, by the Public Works Committee and is being recommended to the Board for approval.
NOW, THEREFORE, LET IT BE RESOLVED, pursuant to N.J.S.A. 40A:11-15, that the Board of County Commissioners of the County of Passaic authorizes a 60-day contract extension of the contract with Cintas of Philadelphia formerly known as Clean Rental Uniforms, Inc., under SB-21-048, set to expire on July 31, 2024, is hereby extended to September 30, 2024.
LET IT BE FURTHER RESOLVED, pursuant to N.J.A.C. 5:30-11.10, that the Board of County Commissioners of the County of Passaic authorizes the increase in appropriation to Cintas of Philadelphia formerly known as Clean Rental Uniforms, Inc., under SB-21-048, in an amount not to exceed fourteen thousand four hundred forty dollars ($14,440.00).
LET IT BE FURTHER RESOLVED, that the Clerk of the Board, County Counsel, and Director of the Board are authorized to execute the contracts and take any other steps necessary to carry out the purpose of this resolution.
