RESOLUTION AUTHORIZING CONTRACT TO BIG BELLY SOLAR, LLC, FOR RENEWAL OF BIG BELLY SOLAR TRASH AND RECYCLING COMPACTOR SOFTWARE FOR THE DIVISION OF HEALTH SERVICES, AS AUTHORIZED BY N.J.S.A. 40A:11-5(dd).

WHEREAS, the County of Passaic (hereafter “County”) is a body politic and corporate pursuant to N.J.S.A. 40:18-1 and vested with all rights contained therein; and
WHEREAS, pursuant to N.J.S.A. 40:20-1, the Board of County Commissioners of the County of Passaic (hereafter “Board”) is vested with managing the property, finances, and affairs of the County; and
WHEREAS, the Passaic County Department of Health, Recycling and Natural Resources Division (hereafter “Division”), coordinates all solid waste and recycling planning functions on behalf of the County and its municipalities; and
WHEREAS, pursuant to N.J.S.A. 40A-11-5(dd), any contract in the amount which exceeds the bid threshold, may be negotiated and awarded by the Board without public advertising for bids and bidding thereof and shall be awarded by Resolution of the Board if it is for the purchase of goods or services for the support or maintenance of proprietary computer hardware and software; and
WHEREAS, Big Belly Solar, LLC, is a Massachusetts limited liability company authorized to do business in the State of New Jersey, that distributes trash and recycling compactors and provides specialized software and accessories in relation thereto; and
WHEREAS, the Division seeks to renew Big Belly Solar Trash and Recycling Compactor Software for a one (1) year term for 116 units, and five (5) month term for 20 units at a total cost of fifteen thousand nine hundred sixty four dollars and 40/100 ($15,964.40) cents, renewal periods as set forth on the attached Big Belly Clean Renewal Quotation; and
WHEREAS, this software enables Passaic County Parks and Passaic County Buildings & Grounds personnel to efficiently service these recycling and trash units throughout Passaic County’s parks and facilities; and
WHEREAS, Big Belly Solar, LLC, is the only vendor that provides this software compatible with its units, and it is a proprietary product; and
WHEREAS, Big Belly Solar, LLC, executed and notarized the County’s Business Entity Disclosure Certification for non-fair and open contracts required pursuant to N.J.S.A. 19:44A-20.8, stating that Big Belly Solar, LLC, has not made and will not make any reportable contributions pursuant to N.J.S.A. 19:44A-1, et seq., that would bar award of this contract, which is attached hereto and made part of this Resolution; and
WHEREAS, funds are available in Account No. G-01-41-760-023-PE1 and G-01-41-760-023-213 or any other account that may be deemed appropriate by the Chief Financial Officer or his designee, and the availability of funds has been contingently certified by the Chief Financial Officer subject to sufficient funds being appropriated by the Board in the 2024 and/or subsequent years’ County budget(s), which is attached hereto and made a part of this Resolution; and
WHEREAS, pursuant to N.J.S.A. 52:32-60-1, et seq., vendor executed the Non-Involvement in Prohibited Activities in Russia or Belarus Certification, attached hereto and made part of this Resolution, certifying the vendor is not involved in prohibited activities in Russia and Belarus, and the County confirmed vendor is not identified on the Specially Designated Nationals and Blocked Persons list created by the Office of Foreign Assets Control; and
WHEREAS, this matter was discussed at the July 9, 2024, meeting of the Planning and Economic Development Committee and is being recommended to the Board for approval; and
NOW, THEREFORE, LET IT BE RESOLVED, pursuant to N.J.S.A. 40A:11-5(dd), the Board of County Commissioners of the County of Passaic authorizes the contract for renewal Big Belly Solar Trash and Recycling Compactor Software for a one (1) year term for 116 units, and five (5) month term for 20 units at a total cost of fifteen thousand nine hundred sixty four dollars and 40/100 ($15,964.40) cents, renewal periods as set forth on the attached Big Belly Clean Renewal Quotation; and
LET IT BE FURTHER RESOLVED, that the Clerk of the Board shall print, in the official newspaper, a brief notice stating the nature, duration, service, and amount of the contract with Big Belly Solar, LLC and maintain a copy of the resolution on file and available for public inspection in the Office of the Clerk of the Board.
LET IT BE FURTHER RESOLVED, that the Clerk of the Board, County Counsel, and the Director of the Board are authorized to take all necessary action to carry out the purpose of this resolution.
