RESOLUTION AUTHORIZING A THREE (3) MONTH CONTRACT EXTENSION OF THE CONTRACT AWARDED TO ATON COMPUTING, INC. UNDER RFP-19-016 FOR MANAGEMENT INFORMATION SYSTEM SUPPORT SERVICES, PURSUANT TO N.J.S.A. 40A:11-15, ET SEQ.

WHEREAS, the County of Passaic (“County”) is a body politic and corporate pursuant to N.J.S.A. 40:18-1 and vested with all rights contained therein; and
WHEREAS, pursuant to N.J.S.A. 40:20-1, the Board of County Commissioners of the County of Passaic (“Board”) is vested with managing the property, finances, and affairs of the County; and
WHEREAS, on August 13, 2019, the Board approved Resolution No. R20190686, authorizing a contract award to ATON Computing, Inc. under RFP-19-016 for management information system support services for a three (3) year contract term, commencing on September 1, 2019 and expiring on August 31, 2022, in an amount not to exceed three million seven hundred forty-two thousand eight hundred sixty-nine dollars ($3,742,869.00), with two (2) one-year options to be exercised at the discretion of the Board; and
WHEREAS, on May 24, 2022, the Board approved Resolution No. R-22-0417, exercising the first one (1) year option with ATON Computing, Inc. for a contract term, beginning on September 1, 2022 and terminating on August 31, 2023, in an amount not to exceed one million two hundred ninety-seven thousand eight hundred fifty-seven dollars ($1,297,857.00); and
WHEREAS, on July 18, 2023, the Board passed Resolution No. R-23-0661, exercising the second one (1) year option with ATON Computing, Inc. for a contract term, commencing on September 1, 2023 and ending on August 31, 2024, in an amount not to exceed one million five hundred eighty-five thousand five hundred ninety dollars and five cents ($1,585,590.05); and
WHEREAS, pursuant to N.J.S.A. 40A:11-15, all contracts shall cease to have effect at the end of the contracted period and shall not be extended by any mechanism or provision, except that a contract may be extended by mutual agreement of the parties to the contract when a contracting unit has commenced rebidding prior to the time the contract expires or when the awarding of a contract is pending at the time the contract expires; and
WHEREAS, the County and ATON Computing, Inc. have mutually agreed to a three (3) month contract extension, as evidenced by the extension letter attached hereto and made part of this Resolution, whereby ATON agreed to provide management information system support services to the County from September 1, 2024 to November 30, 2024, while the County is in the process of rebidding for management information system support services; and
WHEREAS, pursuant to N.J.S.A. 52:32-60.1, et seq., ATON Computing, Inc. executed the Non-Involvement in Prohibited Activities in Russia or Belarus Certification, certifying the vendor is not involved in prohibited activities in Russia and Belarus, and the County confirmed ATON Computing, Inc. is not identified on the Specially Designated Nationals and Blocked Persons list created by the Office of Foreign Assets Control; and
WHEREAS, this matter was discussed by the Administration and Finance Committee, and is being recommended to the Board for approval; and
NOW, THEREFORE, LET IT BE RESOLVED, pursuant to N.J.S.A. 40A:11-15, et seq., the Board of County Commissioners of the County of Passaic authorizes a three (3) month contract extension of the contract awarded to ATON Computing, Inc. under RFP-19-016 for management information system support services, from September 1, 2024 to November 30, 2024, while the County is in the process of bidding.
LET IT BE FURTHER RESOLVED, that the Clerk of the Board, County Counsel, County Administrator, Purchasing Agent, and Director of the Board are authorized to take any action necessary to carry out the purpose of this Resolution.
