RESOLUTION AUTHORIZING A DIRECT CONTRACT AWARD TO FLM REPROGRAPHICS, INC., FOR ON CALL REPROGRAPHIC SERVICES FOR THE PASSAIC COUNTY DEPARTMENT OF ENGINEERING, PURSUANT TO N.J.S.A. 40A:11-5(3), ET SEQ.

WHEREAS, the County of Passaic (“County”) is a body politic and corporate pursuant to N.J.S.A. 40:18-1 and vested with all rights contained therein; and
WHEREAS, pursuant to N.J.S.A. 40:20-1, the Board of County Commissioners of the County of Passaic (“Board”) is vested with managing the property, finances, and affairs of the County; and
WHEREAS, pursuant to N.J.S.A. 40A:11-4, et seq., every contract awarded by the County for the provision or performance of any goods or services, the cost of which in the aggregate exceeds the bid threshold established pursuant to N.J.S.A. 40A:11-3, shall be awarded by resolution of the Board to the lowest responsible bidder after public advertising for bids and bidding thereof; and
WHEREAS, on August 11, 2023, the Passaic County Purchasing Agent issued SB-23-076, Reprographic Services for PC Engineering Department (“SB-24-076”), seeking sealed proposals from qualified bidders to provide on call reprographic services; and
WHEREAS, having received no bids in response to SB-23-076, on September 18, 2023, the Purchasing Agent issued SB-23-080, Re-Bid Reprographic Services for PC Engineering Department (“SB-23-080”), seeking qualified bidders to provide on call reprographic services and no bids were received in response to SB-23-080; and
WHEREAS, pursuant to N.J.S.A. 40A:11-5(3), when bids have been advertised pursuant to N.J.S.A. 40A:11-4 on two occasions, having received no bids on either occasion in response to the advertisements, the County may negotiate a contract that may be awarded upon two-thirds affirmative vote of the Board; and
WHEREAS, the Purchasing Agent made reasonable efforts to confirm the services sought under SB-23-076 and SB-23-080 are not available to procure under any State contracts or cooperative agreements to which the County is a member of; and
WHEREAS, pursuant to N.J.S.A. 40A:11-5(3), the Passaic County Engineer is recommending to make a direct contract award to FLM Reprographics, Inc. to provide on call reprographic services, in an amount not to exceed fifteen thousand dollars ($15,000.00); and
WHEREAS, funds are available in Account No. C-04-55-175-001-901, or any other account that may be deemed appropriate by the Chief Financial Officer or his designee, and the availability of funds has been contingently certified by the Chief Financial Officer subject to sufficient funds being appropriated by the Board in the 2024 and/or subsequent County budget(s), which is attached hereto and made part of this Resolution; and
WHEREAS, this matter was discussed at the July 31, 2024 meeting of the Public Works Committee, and is being recommended to the Board for approval; and
NOW, THEREFORE, LET IT BE RESOLVED, pursuant to N.J.S.A. 40A:11-5(3), the Board of County Commissioners of the County of Passaic authorizes a direct contract award to FLM Reprographics, Inc., to provide on call reprographic services, as approved by the Passaic County Engineer, in an amount not to exceed fifteen thousand dollars ($15,000.00).
LET IT BE FURTHER RESOLVED, that the Clerk to the Board shall print, in the official newspaper, a brief notice stating the nature, duration, service and amount of the contract to FLM Reprographics, Inc., and maintain a copy of this Resolution on file and available for public inspection in the Office of the Clerk to the Board.
LET IT BE FURHER RESOLVED, that the Clerk to the Board, County Counsel, Purchasing Agent, Passaic County Engineer, and Director of the Board are authorized to take any action necessary to carry out the purpose of this Resolution.
