RESOLUTION AUTHORIZING SIXTY (60) DAY EXTENSION OF CONTRACT WITH REGARD TO GERISCRIPT, LLC.

WHEREAS, the County of Passaic (hereafter “County”) is a body politic and corporate pursuant to N.J.S.A. 40:18-1 and vested with all rights contained therein; and
WHEREAS, pursuant to N.J.S.A. 40:20-1, the Board of County Commissioners of the County of Passaic (hereafter “Board”) is vested with managing the property, finances, and affairs of the County; and
WHEREAS, Preakness Healthcare Center (hereafter “Preakness”) is a New Jersey Department of Health licensed , 406-bed skilled nursing facility that is owned and operated by the Board, and needs healthcare staffing agency services; and
WHEREAS, pursuant to N.J.S.A. 40A:11-4.1, authorizes the County to utilize competitive contracting in lieu of public bidding for procurement of specialized good and services, the price of which exceeds the bid threshold; and
WHEREAS, on October 8, 2019, the Passaic County Purchasing Agent unsealed responses to RFP-19-022, Preakness Healthcare Center Pharmaceutical Services (“PRP-19-022”); and
WHEREAS, on December 30, 2019, the Board passed Resolution No. R20191207, authorizing an award of contract to Geriscript, LLC, d/b/a Geriscript Pharmacy, LLC to provide pharmaceutical services at Preakness for a one (1) year term, commencing October 1, 2019 and expiring September 30, 2020, in an amount not to exceed four hundred eighty thousand and 00/100 ($480,000.00) dollars, with four (4) one (1) year options to be exercised at the discretion of the Board; and
WHEREAS, on August 11, 2020, the Board passed Resolution No. R20200620, exercising the first one (1) year option to Geriscript, LLC, with a contract term beginning October 1, 2020, through September 30, 2021, in the amount of four hundred eighty thousand and 00/100 ($480,000.00) dollars; and
WHEREAS, on June 22, 2021, the Board passed Resolution No. R20210602, exercising the second one (1) year option to Geriscript, LLC, with the contract term beginning October 1, 2021 through September 30, 2022, in the amount of four hundred eighty thousand and 00/100 ($480,000.00) dollars; and
WHEREAS, on July 19, 2022, the Board passed Resolution No. R-22-0654, exercising the third one (1) year option to Geriscript, LLC, with the contract term beginning October 1, 2022, through September 30, 2023, in the amount of four hundred eighty thousand and 00/100 ($480,000.00) dollars; and
WHEREAS, pursuant to R-23-0677, the Board of County Commissioners of the County of Passaic exercised the fourth one-year option to Geriscript, LLC, with the contract term beginning October 1, 2023, through September 30, 2024, in an amount not to exceed six hundred fifty thousand and 00/100 ($650,000.00) dollars;
WHEREAS, the Executive Director of Preakness is requesting a resolution to extend the contract by sixty (60) days until November 30, 2024 in the amount of eighty thousand and 00/100 (80,000.00) dollars, pending the RFP solicitation process in which responses are due September 19, 2024; and
WHEREAS, funds are available in Account No. 4-01-27-172-001-M01 or any other account that may be deemed appropriate by the Chief Financial Officer or his designee, and the availability of funds has been contingently certified by the Chief Financial Officer subject to sufficient funds being appropriated by the Board in the 2024 and/or subsequent County budget(s); and
WHEREAS, pursuant to N.J.S.A. 52:32-60-1, et seq., vendor executed the Non-Involvement in Prohibited Activities in Russia or Belarus Certification, attached hereto and made part of this Resolution, certifying the vendor is not involved in prohibited activities in Russia and Belarus, and the County confirmed vendor is not identified on the Specially Designated Nationals and Blocked Persons list created by the Office of Foreign Assets Control; and
WHEREAS, this matter was discussed at the September 3, 2024, Health and Human Services Committee meeting and is being recommended to the Board for approval; and
NOW, THEREFORE, LET IT BE RESOLVED, the Board of County Commissioners of the County of Passaic authorizes the contract extension to November 30, 2024, in the amount of eighty thousand and 00/100 ($80,000.00) dollars with regard to services performed by Geriscript, LLC, as set forth above; and
LET IT BE FURTHER RESOLVED, that the Clerk to the Board, County Counsel, Executive Director of Preakness and Director of the Board are authorized to take any action necessary to carry out the purpose of this Resolution.
