RESOLUTION AUTHORIZING CONTRACT EXTENSION FOR THIRTY DAYS UNTIL OCTOBER 30, 2024, WITH RESPECT TO ARJO, INC, WHICH PROVIDES ANNUAL EQUIPMENT MAINTENANCE SERVICES AT PREAKNESS HEALTHCARE CENTER.

WHEREAS, the County of Passaic (hereafter “County”) is a government body incorporated pursuant to N.J.S.A. 40:18-1, et seq. and vested with all rights contained therein; and
WHEREAS, pursuant to N.J.S.A. 40:20-1, the Board of County Commissioners for the County of Passaic (hereafter “Board”) are vested with decision making powers on behalf of the County; and
WHEREAS, Preakness Healthcare Center (hereafter “Preakness”) is a New Jersey Department of Health licensed, 406-bed skilled nursing facility that is owned and operated by the Board; and
WHEREAS, pursuant to N.J.S.A. 40A:11-4, et.seq, for every contract awarded by the County for the provisions or performance an any goods or services, the cost of which in the aggregate exceed the bid threshold established pursuant to N.J.S.A. 40A:11-3, shall be awarded by resolution of the Board to the lowest responsible bidder after public advertising for bids and bidding thereof; and
WHEREAS, the Passaic County Purchasing Agent issued SB-22-047, Re-bid Arjo Equipment Annual Maintenance and Service Contract for Preakness Healthcare Center (hereafter “SB-22-047”), in compliance with N.J.S.A. 40A:11-4, et.seq., that solicited competitive pricing from vendors for goods and service sought therein; and
WHEREAS, on September 27, 2022, the Board passed Resolution No. R-22-0841, authorizing an award of contract to Arjo, Inc., to provide annual maintenance services for equipment at Preakness, pursuant to the terms and conditions of Arjo, Inc.’s response to SB-22-047, for a two (2) year term, beginning October 1, 2022, and ending September 30, 2024, in an amount not to exceed thirty thousand nine hundred twelve and 00/100 ($30,912.00) dollars per year; and
WHEREAS, the Executive Director of Preakness is recommending a contract extension for the period of thirty (30) days until October 30, 2024, during the bid process for annual maintenance and services in the amount of eight thousand and 00/100 ($8,000.00) dollars.
WHEREAS, funds are available in Account No. 4-01-027-172-001-219 or any other account that may be deemed appropriate by the Chief Financial Officer or his designee, and the availability of funds has been contingently certified by the Chief Financial Officer subject to sufficient funds being appropriated by the Board in the 2024 and/or subsequent years’ County budget(s);
WHEREAS, pursuant to N.J.S.A. 52:32-60-1, et seq., vendor executed the Non-Involvement in Prohibited Activities in Russia or Belarus Certification, attached hereto and made part of this Resolution, certifying the vendor is not involved in prohibited activities in Russia and Belarus, and the County confirmed vendor is not identified on the Specially Designated Nationals and Blocked Persons list created by the Office of Foreign Assets Control; and
WHEREAS, this matter was discussed at the September 17, 2024, meeting of the Health and Human Services Committee and is being recommended to the Board for approval; and
NOW, THEREFORE, LET IT BE RESOLVED, pursuant to N.J.S.A. 40:20-1 et seq., the Board of County Commissioners of the County of Passaic authorizes a contract extension for thirty (30) days until October 30, 2024, for Arjo, Inc., during the bid process for annual maintenance and services in the amount of eight thousand and 00/100 ($8,000.00) dollars; and
LET IT BE FURTHER RESOLVED, that the Director of the Board of County Commissioners, the Clerk to the Board, County Counsel, and Executive Director of Preakness are authorized to take any other steps necessary to carry out the purpose of this resolution.
