RESOLUTION AUTHORIZING AN AWARD OF CONTRACT TO DEFEO ASSOCIATES, LLC, IN RESPONSE TO RFP-24-025 FOR THE PERIOD FROM OCTOBER 1, 2024, THROUGH SEPTEMBER 30, 2029, IN AN AMOUNT NOT TO EXCEED $10,000.00 PER YEAR.

WHEREAS, the County of Passaic (the “County”) is a government body incorporated pursuant to N.J.S.A. 40:18-1, et seq. and vested with all rights contained therein; and
WHEREAS, pursuant to N.J.S.A. 40:20-1 the Board of County Commissioners for the County of Passaic (hereafter the “Board”) is vested with decision-making powers on behalf of the County; and
WHEREAS, N.J.S.A. 40A:11-4.1 authorizes the County to utilize competitive contracting in lieu of public bidding for procurement of specialized goods and services, the price of which exceeds the bid threshold; and
WHEREAS, N.J.S.A. 40A:11-4.1(m) specifically allows the County to use competitive contracting for consulting services; and
WHEREAS, on August 6, 2024, the Purchasing Agent unsealed responses to Environmental Consulting Services for the Passaic County Health Department, Division of Office of Solid Waste and Recycling Program RFP-24-025 (hereafter “RFP-24-025”); and
WHEREAS, in accordance with the law, a Review Committee convened to review the responses to RFP-24-025 and in a memorandum, dated September 26, 2024, attached to and made part of this Resolution, recommended an award of contract to DeFeo Associates, LLC in an amount not to exceed ten thousand and 00/100 ($10,00.00) dollars per year for a five (5) year contract with a term of October 1, 2024 through September 30, 2029; and
WHEREAS, pursuant to N.J.S.A. 19:44A-20.4, the County’s request for proposals is a fair and open process, specifically the request for proposals for the projects under RFP-24-025 are publicly advertised, awarded under a process that provides for public solicitation of qualifications, established the basis of an award and disclosure process documented in writing prior to any solicitation and is publicly opened and announced when awarded; and
WHEREAS, funds are available in Account Nos. G-01-41-761-020-213, G-01-041-761-021-213, and G-01-041-760-024-213 or any other account that may be deemed appropriate by the Chief Financial Officer or his designee, and the availability of funds has been contingently certified by the Chief Financial Officer subject to sufficient funds being appropriated by the Board in the 2024 and/or subsequent years’ County budget(s); and
WHEREAS, pursuant to N.J.S.A. 52:32-60-1, et seq., vendor executed the Non-Involvement in Prohibited Activities in Russia or Belarus Certification, attached hereto and made part of this Resolution, certifying the vender is not involved in prohibited activities in Russia and Belarus, and the County confirmed vendor is not identified on the Specially Designated Nationals and Blocked Persons list created by the Office of Foreign Assets Control; and
WHEREAS, this matter was discussed at the October 1, 2024, meeting of the Health and Human Services Committee and is being recommended to the Board for approval; and
NOW, THEREFORE, LET IT BE RESOLVED, pursuant to N.J.S.A. 40A:11-4.1, et seq., the Board of County Commissioners of the County of Passaic authorizes an award of contract to DeFeo Associates, LLC in the amount not to exceed ten thousand and 00/100 ($10,00.00) dollars per year for a five (5) year contract with a term of October 1, 2024 through September 30, 2029; and
LET IT BE FURTHER RESOLVED, that the Clerk to the Board, Director of the Board and County Counsel are authorized to take any other steps necessary to carry out the purpose of this Resolution.
