RESOLUTION AUTHORIZING CONTRACT MODIFICATION TO JKL TRANSPORTATION LLC, PURSUANT TO N.J.A.C. 5:30-11.6.

WHEREAS, the County of Passaic (the “County”) is a government body incorporated pursuant to N.J.S.A. 40:18-1, et seq. and vested with all rights contained therein; and
WHEREAS, pursuant to N.J.S.A. 40:20-1 the Board of County Commissioners for the County of Passaic (hereinafter the “Board”) are vested with decision-making powers on behalf of the County; and
WHEREAS, the Department of Human Services (hereafter “Department”) is an umbrella social service agency concerned with planning and funding services for disadvantaged and homeless citizens; and
WHEREAS, N.J.S.A. 40A:11-4.1 authorizes the County to utilize competitive contracting in lieu of public bidding for procurement of specialized goods and services, the price of which exceeds the bid threshold; and
WHEREAS, N.J.S.A. 40A:11-4.1(b) specifically authorizes the County to utilize competitive contracting to procure services related to the administration of social services programs, under which this program falls; and
WHEREAS, pursuant to N.J.S.A. 40A:11-4.3, the Board approved Resolution No. R23-0616, dated June 27, 2023, authorizing the Department to initiate the RFP process for transportation services for families receiving TANF; and
WHEREAS, on February 28, 2024, the Purchasing Agent unsealed responses to Rebid Transportation Services Grant administered by the Department, RFP-24-015 (hereafter “RFP-24-015”); and
WHEREAS, in accordance with the law, a Review Committee convened to review the responses to RFP-24-015, and in a memorandum dated March 4, 2024 attached to and made part of this Resolution, recommended an award of contract to the following approved vendor, JKL Transportation Services, Inc., in the amount of thirty thousand and 00/100 ($30,000.00) dollars for a term commencing on January 1, 2024 to December 31, 2024, with up to four (4) one (1) year options to renew; and
WHEREAS, pursuant to N.J.S.A. 19:44A-20.4, the County’s request for proposals is a fair and open process, specifically, the request for proposals for the projects under RFP-24-015 are publicly advertised, awarded under a process that provides for public solicitation of qualifications, established the basis of an award and disclosure process documented in writing prior to any solicitation, and is publicly opened and announced when awarded; and
WHEREAS, pursuant to Resolution R-24-253, dated March 26, 2024, the Board authorized contract awards to the following approved vendor to JKL Transportation LLC totaling thirty thousand and 00/100 ($30,000.00) dollars for a term commencing January 1, 2024, to December 31, 2024, with up to four (4) one (1) year options to renew; and
WHEREAS, the Director of the Department is requesting an increase to JKL Transportation LLC in the amount of twenty thousand and 00/100 ($20,000.00) dollars; and
WHEREAS, pursuant to N.J.A.C. 5:30-11.6, the County can authorize contract modifications for professional services and extraordinary unspecifiable services, when the change is outside the scope of activities of the original contract, provided that any change beyond the original scope of activities shall be made by amendatory contract approved by the governing body;
WHEREAS, funds are available in Account No. G-01-41-815-024-213 or any other account that may be deemed appropriate by the Chief Financial Officer or his designee, and the availability of funds has been contingently certified by the Chief Financial Officer subject to sufficient funds being appropriated by the Board in the 2024 and/or subsequent years’ County budget(s), which is attached to and made part of this Resolution; and
WHEREAS, pursuant to N.J.S.A. 52:32-60-1, et seq., vendor executed the Non-Involvement in Prohibited Activities in Russia or Belarus Certification, attached hereto and made part of this Resolution, certifying the vender is not involved in prohibited activities in Russia and Belarus, and the County confirmed vendor is not identified on the Specially Designated Nationals and Blocked Persons list created by the Office of Foreign Assets Control; and
WHEREAS, this matter was discussed at the October 1, 2024, meeting of the Health and Human Services Committee and is being recommended to the Board for approval; and
NOW, THEREFORE, LET IT BE RESOLVED, pursuant to N.J.S.A. 40A:11-4.1, et seq., the Board of County Commissioners of the County of Passaic authorizes a contract modification to JKL Transportation LLC in an amount of twenty thousand and 00/100 ($20,000.00) dollars to a new total amount of fifty thousand and 00/100 ($50,000.00) dollars for a term commencing January 1, 2024 to December 31, 2024; and
LET IT BE FURTHER RESOLVED, the Clerk to the Board shall print, in the official newspaper, a brief notice stating the nature, duration, service, and amount of the contracts to TKL Transportation and maintain a copy of the Resolution on file and available for public inspection in the Office of the Clerk to the Board; and
LET IT BE FURTHER RESOLVED, that the Clerk to the Board, Director of the Board, County Counsel and Director of the Board of County of Commissioners are authorized to take any other steps necessary to carry out the purpose of this Resolution.
