RESOLUTION AUTHORIZING AN AWARD OF CONTRACT TO NBC UNIVERSAL GOLF NOW LLC, TO PROVIDE GOLF OPERATION BUSINESS SERVICES FOR THE PREAKNESS VALLEY GOLF COURSE, PURSUANT TO N.J.S.A. 40A:11-4.1 ET SEQ.

WHEREAS, the County of Passaic (“County”) is a government body incorporated pursuant to N.J.S.A. 40:18-1, et seq. and vested with all rights contained therein; and
WHEREAS, pursuant to N.J.S.A. 40:20-1 the Board of County Commissioners for the County of Passaic (hereafter “Board”) is vested with decision-making powers on behalf of the County; and
WHEREAS, the County is in need of golf operation business services for the Preakness Valley Golf Course; and
WHEREAS, N.J.S.A. 40A:11-4.1 authorizes the County to utilize competitive contracting in lieu of public bidding for procurement of specialized goods and services, the price of which exceeds the bid threshold; and
WHEREAS, N.J.S.A. 40A:11-4.1(i) specifically authorizes the County to utilize competitive contracting for any good or service that is exempt from bidding pursuant to N.J.S.A. 40A:11-5; and
WHEREAS, on August 13, 2024, the Board approved Resolution No. R-24-0733 authorizing the use of competitive contracting to retain a company to provide golf operations business services for the Preakness Golf Course; and
WHEREAS, on August 21, 2024, the Purchasing Agent issued RFP-24-026 for golf operations business services for the Preakness Golf Course (“RFP-24-026”); and
WHEREAS, only one vendor, Golf Now, LLC, responded to the RFP-24-026, and it was determined that the bid response was defective; and
WHEREAS, on August 23, 2024, the Purchasing Agent issued RFP-24-035, re-bid for golf operation business services for the Preakness Golf Course (“RFP-24-035”); and
WHEREAS, on October 16, 2024, proposals for RFP-24-035 were unsealed by the Purchasing Agent, with one (1) response from GolfNow, LLC; and
WHEREAS, pursuant to N.J.S.A. 40A:11-4.5(d), the proposal submitted was reviewed and ranked by an evaluation committee based on a methodology for the awarding of competitive contracts, which included technical, management, and cost-related criteria; and
WHEREAS, a review committee convened and scored the proposals, and is recommending an award of contract to GolfNow LLC, for an amount not to exceed four hundred eighty-three thousand, twelve dollars ($483.012.00) for a three-year period at one hundred sixty-one thousand four dollars ($161,004.00) per year; and to provide golf operations business services under RFP-24-035; and
WHEREAS, pursuant to N.J.S.A. 19:44A-20.4, the County’s request for proposals is a fair and open process, specifically, RFP-24-035 is publicly advertised, awarded under a process that provides for public solicitation of qualifications, established the basis of an award and disclosure process documented in writing prior to any solicitation, and is publicly opened and announced when awarded; and
WHEREAS, funds are available in Account No. 4-01-28-198-002-213, or any other account that may be deemed appropriate by the Chief Financial Officer or his designee, and the availability of funds has been contingently certified by the Chief Financial Officer subject to sufficient funds being appropriated by the Board in the 2024 or subsequent years’ County budget(s), which is attached to and made part of this Resolution; and
WHEREAS, this matter was discussed at the November 6, 2024 Public Works Committee and is being recommended to the Board for approval.
NOW, THEREFORE, LET IT BE RESOLVED, pursuant to N.J.S.A. 40A:11-4.1 et seq., the Board of County Commissioners of the County of Passaic authorizes an award of contract to GolfNow LLC, for an amount not to exceed four hundred eighty-three thousand twelve dollars ($483,012.00) for a three-year period at one hundred sixty-one thousand four dollars ($161,004.00) per year; for golf operations business services under RFP-24-035.
LET IT BE FURTHER RESOLVED, the Clerk of the Board shall print, in the official newspaper, a brief notice stating the nature, duration, service, and amount of the contract to GolfNow, LLC, and maintain a copy of the resolution on file and available for public inspection in the Office of the Clerk to the Board.
LET IT BE FURTHER RESOLVED, that the Clerk to the Board, County Counsel, and the Director of the Board of County Commissioners are authorized to take any other steps necessary to carry out the purpose of this Resolution.
