RESOLUTION EXERCISING THE FOURTH ONE-YEAR OPTION WITH GOVDEALS, INC. FOR ONLINE AUCTION SERVICES, PURSUANT TO N.J.S.A. 40A:11-4.1, ET SEQ.

WHEREAS, the County of Passaic (“County”) is a body politic and corporate pursuant to N.J.S.A. 40:18-1 and vested with all rights contained therein; and
WHEREAS, pursuant to N.J.S.A. 40:20-1, the Board of County Commissioners of the County of Passaic (“Board”) is vested with managing the property, finances, and affairs of the County; and
WHEREAS, N.J.S.A. 40A:11-4.1 authorizes the County to utilize competitive contracting in lieu of public bidding for procurement of specialized goods and services, the price of which exceeds the bid threshold; and
WHEREAS, N.J.S.A. 40A:11-4.1(m) specifically authorizes the County to utilize competitive contracting to procure vendors for consulting services; and
WHEREAS, pursuant to N.J.S.A. 40A:11-4.3, on January 26, 2021, the Board approved Resolution No. R20210034, authorizing competitive contracting for auction services of surplus property no longer needed for public use; and
WHEREAS, on February 11, 2021, the Passaic County Purchasing Agent issued RFP-21-001, Online Auction Services, responses to which were received on March 5, 2021; and
WHEREAS, pursuant to N.J.S.A. 40A:11-4.5(d), in a memorandum dated March 31, 2021, a review committee recommended a contract award to GovDeals, Inc. for a one-year contract term, beginning April 1, 2021 and expiring March 31, 2022 at no cost to the County, with four (4) one (1) year options to be exercised at the discretion of the Board; and
WHEREAS, on April 13, 2021, the Board approved Resolution No. R20210329, authorizing a one-year contract award to GovDeals, Inc., commencing April 1, 2021 and expiring March 31, 2022, with the Board retaining four (4) one (1) year options to be exercised at the discretion of the Board; and
WHEREAS, on December 28, 2021, the Board approved Resolution No. R20211188, exercising the first one-year option with GovDeals, Inc. for auction services of property no longer needed for public use for a term beginning April 1, 2022 and expiring March 31, 2023; and
WHEREAS, on January 24, 2023, the Board passed Resolution No. R-23-0025, exercising the second one-year option with GovDeals, Inc. for auction services of property no longer needed for public use for a contract term, commencing April 1, 2023 and terminating March 31, 2024; and
WHEREAS, on December 28, 2023, the Board passed Resolution No. R-23-1201, exercising the third one-year option with GovDeals, Inc. for auction services of property no longer needed for public use for a contract term, commencing April 1, 2024 and terminating March 31, 2025; and
WHEREAS, the Purchasing Agent is recommending to exercise the fourth one-year option with GovDeals, Inc., for a term beginning April 1, 2025 and expiring March 31, 2026; and
WHEREAS, this matter was discussed at the November 6, 2024 Administration and Finance Committee meeting, and is being recommended to the Board for approval.
NOW, THEREFORE, LET IT BE RESOLVED, pursuant to N.J.S.A. 40A:11-4.1, et seq., the Board of County Commissioners of the County of Passaic exercises the fourth one-year option with GovDeals, Inc. for online auction services of property no longer needed for public use for a contract term, commencing April 1, 2025 and expiring March 31, 2026, in accordance with RFP-21-001 and at no cost to the County of Passaic.
LET IT BE FURTHER RESOLVED, that the Clerk to the Board shall print, in the official newspaper, a brief notice stating the nature, duration, service, and amount of the contract to GovDeals, Inc. and maintain a copy of this Resolution on file and available for public inspection in the Office of the Clerk to the Board.
LET IT BE FURTHER RESOLVED, that the Clerk to the Board, County Counsel, Purchasing Agent and Director of the Board are authorized to take any steps necessary to carry out the purpose of this Resolution.
