RESOLUTION AUTHORIZING AWARD OF CONTRACT TO GERISCRIPT, LLC, FOR PHARMACEUTICAL SERVICES AT PREAKNESSS HEALTHCARE CENTER FOR THE PERIOD DECEMBER 1, 2024 THROUGH NOVEMBER 30, 2026 IN THE AMOUNT OF $350,000.00 PER YEAR WITH THREE, ONE-YEAR OPTIONS TO RENEW, PURSUANT TO N.J.S.A. 40A:11-4.1, ET.SEQ.

WHEREAS, the County of Passaic (hereafter “County”) is a government body incorporated pursuant to N.J.S.A. 40:18-1, et seq. and vested with all rights contained therein; and
WHEREAS, pursuant to N.J.S.A. 40:20-1 the Board of County Commissioners of the County of Passaic (hereinafter “Board”) is vested with decision making powers on behalf of the County; and
WHEREAS, Preakness Healthcare Center (hereafter “Preakness”) is a New Jersey Department of Health licensed, 406-bed skilled nursing facility that is owned and operated by the Board, and is in need of pharmaceutical services for residents of Preakness; and
WHEREAS, N.J.S.A. 40A:11-4.1 authorizes the County to utilize competitive contracting in lieu of public bidding for procurement of specialized goods and services, the price of which exceeds the bid threshold; and
WHEREAS, N.J.S.A. 40A:11-4.1(h) specifically allows the County to utilize competitive contracting for the provisions of Pharmaceutical Services; and
WHEREAS, pursuant to N.J.S.A. 40A:11-4.3, on September 10, 2019, the Board approved Resolution No. R-20190787, authorizing competitive contracting to retain a provider of pharmaceutical services at Preakness; and
WHEREAS, on October 23, 2024, the Purchasing Agent unsealed responses to Pharmaceutical Services for Preakness Healthcare Center (hereafter “RFP-24-036”); and
WHEREAS, in accordance with the law, a Review Committee was convened to review the responses to RFP-24-036 and in a memorandum, recommended an award of contract to Geriscript, LLC, in the amount of three hundred fifty and 00/100 ($350,000.000), with three, one-year options to renew, beginning December 1, 2024 through November 30, 2026, contingent upon 2025 and 2006 budgets; and
WHEREAS, pursuant to N.J.S.A. 19:44A-20.4, the County’s request for proposals is a fair and open process, specifically the request for proposals for RFP-24-036 was publicly advertised, awarded under a process that provides for public solicitation of qualifications, established the basis of an award and disclosure process documented in writing prior to any solicitation, and is publicly opened and announced when awarded; and
WHEREAS, funds are available in Account Nos. 4-01-27-172-001-M01 and 5-01-27-172-001-M01 or any other account that may be deemed appropriate by the Chief Financial Officer or his designee, and the availability of funds has been contingently certified by the Chief Financial Officer subject to sufficient funds being appropriated by the Board in 2024 and/or subsequent County budget(s); and
WHEREAS, pursuant to N.J.S.A. 52:32-60-1, et seq., vendor executed the Non-Involvement in Prohibited Activities in Russia or Belarus Certification, attached hereto and made part of this Resolution, certifying the vendor is not involved in prohibited activities in Russia and Belarus, and the County confirmed vendor is not identified on the Specially Designated Nationals and Blocked Persons list created by the Office of Foreign Assets Control; and
WHEREAS, this matter was discussed at the November 12, 2024, meeting of the Health and Human Services Committee and is being recommended to the Board for approval; and
NOW, THEREFORE, LET IT BE RESOLVED, pursuant to N.J.S.A. 40A:11-4.1 et seq., the Board of County Commissioners of the County of Passaic “Board”) authorizes an award of contract to Geriscript, LLC, in the amount of three hundred fifty and 00/100 ($350,000.000), with three, one-year options to renew, beginning December 1, 2024 through November 30, 2026, contingent upon 2025 and 2006 budgets, pursuant to N.J.S.A. 40A:11-4.1, et.seq.; and
LET IT BE FURTHER RESOLVED, that the Clerk to the Board shall print, in the official newspaper, a brief notice stating the nature, duration, service, and amount of the contract to Geriscript, LLC, and maintain a copy of this Resolution on file and available for public inspection in the Office of the Clerk to the Board; and
LET IT BE FURTHER RESOLVED, that the Clerk to the Board, County Counsel, Executive Director of Preakness, Purchasing Agent, and the Director of the Board are authorized to take any action necessary to carry out the purpose of this Resolution.
