RESOLUTION ACKNOWLEDGING THE VENDOR’S NAME CHANGE AND ASSIGNMENT OF ALL DUTIES, RIGHTS, AND INTERESTS FROM LASSER SUSSMAN ASSOCIATES LLC TO PYRAMID REAL ESTATE, LLC

WHEREAS, the County of Passaic (hereafter “County”) is a government body incorporated pursuant to N.J.S.A. 40:18-1, et seq. and vested with all rights contained therein; and
WHEREAS, pursuant to N.J.S.A. 40:20-1, the Board of County Commissioners for the County of Passaic (hereafter “Board”) is vested with decision-making powers on behalf of the County; and
WHEREAS, Lasser Sussman Associates, LLC, has notified the County in writing of its intention to assign all of its rights, duties, and interests to Pyramid Real Estate, LLC; and
WHEREAS, Pyramid Real Estate, LLC, has provided the County with a business registration certificate and accompanying documents reflecting the name change and assignment of all duties, rights and interests from Lasser Sussman Associates, LLC to Pyramid Real Estate, LLC; and
WHEREAS, Pyramid Real Estate, LLC submitted a proposal to provide appraisals for the Morris Canal Greenway Phase IV Project (hereafter “Project”) in response to RFQ-24-041 Real Estate Appraisers (“RFQ-24-041”) seeking qualifications for a pool of real estate appraisers for calendar year 2024; and
WHEREAS, a name change is necessary to recognize Lasser Sussman Associates LLC’s assignment of all duties, rights, and interests to Pyramid Real Estate, LLC in order to proceed; and
WHEREAS, this matter was discussed via email on December 11, 2024 by the Public Works Committee and is being recommended to the Board for approval.
NOW, THEREFORE, LET IT BE RESOLVED, pursuant to N.J.S.A. 40:20-1, the Board of County Commissioners of the County of Passaic acknowledges the assignment of all Lasser Sussman Associates LLC’s rights, duties, and interests to Pyramid Real Estate, LLC, and recognizes Lasser Sussman Associates LLC’s name change to Pyramid Real Estate, LLC.
LET IT BE FURTHER RESOLVED, that the Clerk to the Board, County Counsel, Purchasing Agent and Director of the Passaic County Board of Commissioner are authorized to take any other steps necessary to carry out the purpose of this resolution.
