RESOLUTION AUTHORIZING AN AWARD OF CONTRACT TO CARDINAL FOODS LLC, H. SCHRIER & CO., INC., MIVILA FOODS, AND WITH CORNER STONE LLC TO PROVIDE GROCERIES, CANNED AND FROZEN GOODS FOR THE COUNTY OF PASSAIC DEPARTMENTS AND INSTITUTIONS, PURSUANT TO N.J.S.A. 40A:11-4. ET.SEQ.

WHEREAS, the County of Passaic (hereafter “County”) is a government body incorporated pursuant to N.J.S.A. 40:18-1, et seq. and vested with all rights contained therein; and
WHEREAS, pursuant to N.J.S.A. 40:20-1, the Board of County Commissioners for the County of Passaic (hereafter the “Board”) is vested with decision-making powers on behalf of the County; and
WHEREAS, Preakness Healthcare Center (hereafter “Preakness”) is a New Jersey Department of Health licensed, 406-bed skilled nursing facility that is owned and operated by the Board; and
WHEREAS, pursuant to N.J.S.A. 40A:11-4, et.seq. for every contract awarded by the County for the provision or performance of any goods or services, the cost of which in the aggregate exceeds the bid threshold established pursuant to N.J.S.A. 40A:11-3, shall be awarded by resolution of the Board to the lowest responsible bidder after public advertising for bids and bidding thereof; and
WHEREAS, the Puchasing Agent issued SB-25-036 Groceries, Canned and Frozen Goods for the County of Passaic Departments and Institutions (hereafter SB-25-036), in compliance with N.J.S.A. 40A:11-4, et.seq. that solicited competitive pricing from qualified vendors for the goods and services sought therein; and
WHEREAS, on February 20, 2025, the Purchasing Agent unsealed responses received to SB-25-036; and
WHEREAS, pursuant to N.J.S.A. 40A:11-4, the Executive Director of Preakness Healthcare Center is recommending that the Board authorize contracts with Cardinal Foods LLC, H. Schrier & Co., Inc., Mivila Foods, and With Corner Stone LLC to provide groceries, Canned and frozen goods at Preakness, for a one (1) year term, in a lump sum amount of one million one hundred thousand dollars ($1,100,000.00) for the period beginning April 1, 2025 through March 31, 2026, with a one (1) year option to renew; and
WHEREAS, funds are available in Account Nos. 5-01-27-172-001-F04 and 5-01-27-172-001-M02 or any other account that may be deemed appropriate by the Chief Financial Officer or his designee, and the availability of funds has been contingently certified by the Chief Financial Officer subject to sufficient funds being appropriated by the Board in the 2025 and/or subsequent years’ County budget(s);
WHEREAS, pursuant to N.J.S.A. 52:32-60-1, et seq., vendor executed the Non-Involvement in Prohibited Activities in Russia or Belarus Certification, attached hereto and made part of this Resolution, certifying the vendor is not involved in prohibited activities in Russia and Belarus, and the County confirmed vendor is not identified on the Specially Designated Nationals and Blocked Persons list created by the Office of Foreign Assets Control; and
WHEREAS, this matter was discussed at the March 18, 2025, meeting of the Health and Human Services Committee and is being recommended to the Board for approval; and
NOW, THEREFORE, LET IT BE RESOLVED, pursuant to N.J.S.A. 40A:11-4, the Board of County Commissioners of the County of Passaic hereby authorizes an awards of contract with Cardinal Foods LLC, H. Schrier & Co., Inc., Mivila Foods and With Corner Stone LLC to provide groceries, Canned and frozen goods at Preakness, pursuant to the terms and conditions of SB-25-036, for a one (1) year term, in an award amount of one million one hundred thousand dollars ($1,100,000.00) for the period beginning April 1, 2025 through March 31, 2026, with a (1) year option to renew; and
LET IT BE FURTHER RESOLVED, that the Clerk to the Board, County Counsel, and Director of the Board of County Commissioners of the County of Passaic are authorized to take any other steps necessary to carry out the purpose of this Resolution.
