RESOLUTION AUTHORIZING AMENDMENT OF RESOLUTION R-23-0172 DATED FEBRUARY 28, 2023 AWARDING CONTRACT TO GAETA RECYCLING CO., INC. AND INTERSTATE WASTE SERVICES OF NEW JERSEY, INC., FOR COLLECTION AND DISPOSAL OF SOLID WASTE FOR PASSAIC COUNTY FACILITIES FOR A THREE (3) YEAR TERM, COMMENCING MARCH 1, 2023 AND EXPIRING FEBRUARY 28, 2026, IN ORDER TO CERTIFY ADDITIONAL FUNDS FOR SB-23-025

WHEREAS, the County of Passaic (“County”) is a body politic and corporate pursuant to N.J.S.A. 40:18-1 and vested with all rights contained therein; and
WHEREAS, pursuant to N.J.S.A. 40:20-1, the Board of County Commissioners of the County of Passaic (“Board”) is vested with managing the property, finances, and affairs of the County; and
WHEREAS, various County facilities are in need of collection and disposal of solid waste to be delivered at a licensed disposal site; and
WHEREAS, on June 30, 2020, the Board approved Resolution No. R-2020-0514, setting the County’s bid threshold at forty-four thousand dollars ($44,000.00), in accordance with N.J.S.A. 40A:11-3 (hereafter “Bid Threshold”); and
WHEREAS, pursuant to N.J.S.A. 40A:11-4, et seq., for every contract awarded by the County for the provision or performance of any goods or services, the cost of which in the aggregate exceeds the bid threshold established pursuant to N.J.S.A. 40A:11-3, shall be awarded by resolution of the Board to the lowest responsible bidder after public advertising for bids and bidding thereof; and
WHEREAS, pursuant to N.J.S.A. 40A:11-4, the Passaic County Purchasing Agent issued SB-23-025, Collection and Disposal of County Facilities’ Solid Waste (“SB-23-025”), seeking proposals from qualified bidders for the collection and disposal of solid waste; and
WHEREAS, on January 18, 2023, the Purchasing Agent opened bid proposals responsive to SB-23-025; and thereafter, the Solid Waste & Recycling Programs Manager reviewed responsive proposals to determine the lowest responsible bidder; and
WHEREAS, in a memorandum dated February 7, 2023, the Solid Waste & Recycling Programs Manager recommended a contract award to Gaeta Recycling Co., Inc. and Interstate Waste Services of New Jersey, Inc. for a three (3) year term, commencing March 1, 2023 and expiring February 28, 2026, in an amount not to exceed nine hundred fifty-nine thousand dollars ($959,000.00) for Gaeta Recycling Co., Inc. and three hundred twenty-four thousand dollars ($324,000.00) for Interstate Waste Services of New Jersey, Inc., with the County retaining a one (1) year option to be exercised at the discretion of the County; and
WHEREAS, pursuant to Resolution R-23-0172 dated February 28, 2023, the Board of County Commissioners of the County of Passaic authorized an award of contract to Gaeta Recycling Co., Inc. and Interstate Waste Services of New Jersey, Inc.; and
WHEREAS, the Solid Waste & Recycling Program Manager is requesting a resolution authorizing additional funds to be certified for SB-23-025 Pick-up and Disposal of Solid Waste for various County of Passaic locations in the amount of $400,000.00 for Gaeta Recycling, Paterson, NJ and Interstate Waste Services, Teaneck, NJ; and
WHEREAS, this includes funds that have been expended by the County of Passaic for solid waste disposal, as well as funds projected to cover the solid waste disposal for various Passaic County facilities through February 2026; and
WHEREAS, funds are available in any account that may be deemed appropriate by the Chief Financial Officer or his designee, and the availability of funds has been contingently certified by the Chief Financial Officer subject to sufficient funds being appropriated by the Board in the 2025 and/or subsequent County budget(s), which is attached to and made part of this Resolution; and
WHEREAS, pursuant to N.J.S.A. 52:32-60-1, et seq., vendor executed the Non-Involvement in Prohibited Activities in Russia or Belarus Certification, attached hereto and made part of this Resolution, certifying the vendor is not involved in prohibited activities in Russia and Belarus, and the County confirmed vendor is not identified on the Specially Designated Nationals and Blocked Persons list created by the Office of Foreign Assets Control; and
WHEREAS, this matter was discussed at the July 8, 2025 Health and Human Services Committee meeting, and is being recommended to the Board for approval; and
NOW, THEREFORE, LET IT BE RESOLVED, the Board of County Commissioners of the County of Passaic authorizes an amendment of Resolution R-23-0172 dated February 28, 2023 to certify additional funds for SB-23-025 Pick-up and Disposal of Solid Waste for various County of Passaic locations in the amount of $400,000.00 for Gaeta Recycling, Paterson, NJ, and Interstate Waste Services, Teaneck, NJ and include funds that have been expended by the County of Passaic for solid waste disposal as well as funds projected to cover the solid waste disposal for various Passaic County facilities through February 2026; and
LET IT BE FURTHER RESOLVED, that the Clerk to the Board, County Counsel, the Director/Health Officer of the Department, and Director of the Board are authorized to take any action necessary to carry out the purpose of this Resolution.
