RESOLUTION AUTHORIZING AN AWARD OF CONTRACT TO SMITH DETECTION, INC., FOR ON-SITE SERVICES FOR SEVEN (7) HIGH SCAN X-RAY MACHINES LOCATED AT VARIOUS LOCATIONS AT THE PASSAIC COUNTY COURT HOUSE FOR SECURITY PURPOSES, PURSUANT TO N.J.S.A. 40A:11-3 AND N.J.S.A. 40A:11-12 ET SEQ.

WHEREAS, the County of Passaic (“County”) is a body politic and corporate pursuant to N.J.S.A. 40:18-1 and vested with all rights contained therein; and
WHEREAS, pursuant to N.J.S.A. 40:20-1 the Board of County Commissioners of the County of Passaic (hereafter “Board”) is vested with managing the property, finances, and affairs of the County; and
WHEREAS, pursuant to N.J.S.A. 40:11-12, the County may, without advertising for bids, or having rejected all bids obtained pursuant to advertising thereof, purchase any goods or services under any contract or contracts for such goods or services entered into on behalf of the State of New Jersey by the Division of Purchase and Property in the Department of Treasury; and
WHEREAS, Smiths Detection, Inc., submitted a competitive pricing under T0115 -Scientific Equipment Accessories Supplies and Maintenance Statewide, Master Blanket Purchase Order # 17-FLEET-01043, to the State of New Jersey, Division of Purchase and Property in the Department of Treasury; and
WHEREAS, pursuant to N.J.S.A. 40:11-12, the Passaic County Sheriff’s Office is recommending an award of contract to Smiths Detection, Inc. for on-site services for seven (7) High Scan X-ray machines at various locations at the Passaic County Courthouse for security purposes, for a period beginning on May 15, 2025 and expiring on December 31, 2025; and
WHEREAS, pursuant to N.J.S.A. 40A:11-3(c), the Governor, in consultation with the Department of Treasury, shall, no later than March 1 of every fifth year beginning in the fifth year after the year in which P.L. 1999, c.440 takes effect, adjust the [bid] threshold amount, in direct proportion to the rise or fall of the index rate as the term is defined in section N.J.S.A. 40A:11-2, and shall round the adjustment to the nearest $1,000.00; and
WHEREAS, on June 30, 2020 the Board approved Resolution No. R20200514 setting the bid threshold at forty-four thousand dollars ($44,000.00), in accordance with the law; and
WHEREAS, because the State contract awarded to Smiths Detection expires December 31, 2025, the Passaic County Sheriff’s Office is recommending that the Board authorize a non-fair and open award of contract to Smiths Detection, Inc., for the period beginning January 1, 2026 and expiring May 14, 2026, in a total award amount for the period beginning May 15, 2025 and expiring May 14, 2026 in an amount not to exceed thirty-nine thousand seven hundred eighty dollars and seventy-two cents ($39,780.72); and
WHEREAS, Smiths Detection, Inc., executed and notarized the County’s Business Entity Disclosure Certification for non-fair and open contracts required pursuant to N.J.S.A. 19:44A-20.8, which is attached to and made part of this resolution; and
WHEREAS, funds are available in Account No. 5-01-22-130-001-213, or any other account that may be deemed appropriate by the Chief Financial Officer or his designee, and the availability of funds has been contingently certified by the Chief Financial Officer subject to sufficient funds being appropriated by the Board in the 2025 and/or subsequent years’ County budget(s), which is attached to and made part of this Resolution; and
WHEREAS, this matter was discussed at the July 8, 2025 meeting of the Law and Public Safety Committee and is being recommended to the Board for approval.
NOW, THEREFORE, LET IT BE RESOLVED, pursuant to N.J.S.A. 40A:11-3 and N.J.S.A. 40A:11-12, that the Board of County Commissioners of the County of Passaic hereby authorizes an award of contract to Smiths Detection for on-site services for seven (7) High Scan X-ray machines at various locations at the Passaic County Courthouse for security purposes for a period beginning on May 15, 2025 and expiring on May 14, 2026, in an amount not to exceed thirty-nine thousand seven hundred eighty dollars and seventy-two cents ($39,780.72).
LET IT BE FURTHER RESOLVED, the Clerk to the Board shall print, in the official newspaper, a brief notice stating the nature, duration, service, and amount of the contract to the Smiths Detection, Inc., and maintain a copy of the resolution on file and available for public inspection in the Office of the Clerk to the Board.
LET IT BE FURTHER RESOLVED, that Resolution No. R-25-0597 dated June 17, 2025 shall be and hereby is repealed.
LET IT BE FURTHER RESOLVED, that the Purchasing Agent, Clerk to the Board, and Director of the Board be and hereby are authorized and directed to take such further actions and sign such documents as are necessary to effectuate the purpose of this resolution, including but not limited to issuance of appropriate Purchase Orders
