RESOLUTION AUTHORIZING THE RENEWAL OF THE COUNTY’S SMART MAX SOFTWARE SUBCRIPTION FROM BIG BELLY SOLAR, INC., PURSUANT TO N.J.S.A. 40A:11-5

WHEREAS, the County of Passaic (“County”) is a body politic and corporate pursuant to N.J.S.A. 40:18-1 and vested with all rights contained therein; and
WHEREAS, pursuant to N.J.S.A. 40:20-1, the Board of County Commissioners of the County of Passaic (“Board”) is vested with managing the property, finances, and affairs of the County; and
WHEREAS, the Passaic County Department of Health, Division of Solid Waste & Recycling (“Division”), coordinates all solid waste and recycling planning functions on behalf of the County and its municipalities; and
WHEREAS, pursuant to N.J.S.A. 40A:11-5(1)(dd), a contract may be negotiated and awarded by the Board without public advertising for bids and bidding therefor and can be awarded by resolution of the Board if the contract is for the provision or performance of goods or services for the support or maintenance of proprietary computer hardware and software; and
WHEREAS, the Division is recommending that the County renew its subscription with Big Belly Solar, Inc. for its proprietary Big Belly Smart Max software, which the Division uses to facilitate the service of recycling and trash units throughout the County in an efficient manner, and which software is necessary for the Division’s operations and is exclusively available from Big Belly Solar, Inc., for a one-year term from July 1, 2025 to June 30, 2026, pursuant to the attached quote, in an amount not to exceed seventeen thousand four hundred sixty-two dollars and forty cents ($17,462.40); and
WHEREAS, pursuant to N.J.S.A. 52:32-60-1, et seq., Big Belly Solar, Inc. executed the Non-Involvement in Prohibited Activities in Russia or Belarus Certification, attached hereto and made part of this Resolution, certifying that it is not involved in prohibited activities in Russia and Belarus, and the County confirmed Big Belly Solar, Inc. is not identified on the Specially Designated Nationals and Blocked Persons list created by the Office of Foreign Assets Control; and
WHEREAS, funds are available in Account No. G-01-41-761-022-PE1, or any other account that may be deemed appropriate by the Chief Financial Officer or his designee, and the availability of funds has been contingently certified by the Chief Financial Officer subject to sufficient funds being appropriated by the Board in the 2025 and/or subsequent County budget(s), which is attached hereto and made part of this Resolution; and
WHEREAS, this matter was discussed at the August 5, 2025, Health & Human Services Committee meeting, and is being recommended to the Board for approval.
NOW, THEREFORE, LET IT BE RESOLVED, pursuant to N.J.S.A. 40A:11-5(1)(dd), the Board of County Commissioners of the County of Passaic (“Board”) authorizes the renewal of the County’s Big Belly Smart Max software subscription with Big Belly Solar, Inc. for a one-year term from July 1, 2025 to June 30, 2026, pursuant to the attached quote, in an amount not to exceed seventeen thousand four hundred sixty-two dollars and forty cents ($17,462.40).
LET IT BE FURTHER RESOLVED, that the Clerk to the Board, County Counsel, Purchasing Agent, Director of the Health Department, and Director of the Board are authorized to take any action necessary to carry out the purpose of this Resolution.
