RESOLUTION EXERCISING THE SECOND ONE-YEAR OPTION WITH MILLENNIUM COMMUNICATIONS GROUP, INC FOR FIBER OPTIC LINE DESIGN, INSTALLATION, MAINTENANCE & REPAIR FOR PASSAIC COUNTY COMMUNICATIONS NETWORK, PURSUANT TO N.J.S.A. 40A:11-4.1 AND RFP-22-001

WHEREAS, the County of Passaic (“County”) is a body politic and corporate pursuant to N.J.S.A. 40:18-1 and vested with all rights contained therein; and
WHEREAS, pursuant to N.J.S.A. 40:20-1, the Board of County Commissioners of the County of Passaic (“Board”) is vested with managing the property, finances, and affairs of the County; and
WHEREAS, N.J.S.A. 40A:11-4.1 authorizes the County to utilize competitive contracting in lieu of public bidding for procurement of specialized goods and services, the price of which exceeds the bid threshold; and
WHEREAS, N.J.S.A. 40A:11-4.1(q) specifically authorizes the County to utilize competitive contracting for the operation, management or administration of data processing services; and
WHEREAS, on March 14, 2006, the Board authorized the use of competitive contracting for the Fiber Optic Line Design, Installation, Maintenance, and Repair of the Passaic County Communications Network; and
WHEREAS, on November 15, 2021, the Passaic County Purchasing Agent issued RFP-22-001, Fiber Optic Line Design, Installation, Maintenance & Repair for the Passaic County Communications Network (“RFP-22-001”), that solicited competitive pricing from qualified vendors for the goods and services sought therein; and
WHEREAS, pursuant to N.J.S.A. 40A:11-4.1, et seq., on December 28, 2021, the Board approved Resolution No. R20211233, authorizing a contract award to Millennium Communications Group, Inc., for Fiber Optic Line Design, Installation, Maintenance and Repair for the County of Passaic’s Communication Network for a three (3) year term, commencing January 1, 2022 and expiring December 31, 2024, with two (2) one-year options to be exercised at the discretion of the Board; and
WHEREAS, on October 8, 2024, the Board passed Resolution R-24-874, exercising the first one-year renewal option under above-described contract, for a term commencing January 1, 2025, and expiring December 31, 2025; and
WHEREAS, the Director of the Department of Management and Information Systems is recommending that the County exercise the second and final one-year renewal option under above-described contract, for a term commencing January 1, 2026, and expiring December 31, 2026, in an amount not to exceed eight thousand dollars ($8,000.00); and
WHEREAS, pursuant to N.J.S.A. 52:32-60.1, et seq., Millenium Communications Group, Inc., executed the Non-Involvement in Prohibited Activities in Russia or Belarus Certification, attached hereto and made part of this Resolution, certifying the vendor is not involved in prohibited activities in Russia and Belarus, and the County confirmed Millenium Communications Group, Inc., is not identified on the Specially Designated Nationals and Blocked Persons list created by the Office of Foreign Assets Control; and
WHEREAS, funds are available in any account that may be deemed appropriate by the Chief Financial Officer or his designee, and the availability of funds has been contingently certified by the Chief Financial Officer subject to sufficient funds being appropriated by the Board in the 2025 and/or subsequent County budget(s), which is attached hereto and made part of this Resolution; and
WHEREAS, this matter was discussed at the August 27, 2025 Administration and Finance Committee meeting, and is being recommended to the Board for approval.
NOW, THEREFORE, LET IT BE RESOLVED, pursuant to N.J.S.A. 40A:11-4.1, et seq., the Board of County Commissioners of the County of Passaic hereby exercises the second and final one-year renewal option with Millennium Communications Group, Inc., under RFP-22-001 for Fiber Optic Line Design, Installation, Maintenance & Repair services for the County of Passaic, for a contract term beginning January 1, 2026 and terminating December 31, 2026, in an amount not to exceed eight thousand dollars ($8,000.00), in accordance with RFP-22-001.
LET IT BE FURTHER RESOLVED, that the Clerk of the Board, County Counsel, Purchasing Agent, County Administrator, and Director of the Board are authorized to take any action necessary to carry out the purpose of this Resolution.
