RESOLUTION AMENDING AND SUPPLEMENTING RESOLUTION NO. R-25-559 AUTHORIZING AN AWARD OF CONTRACT TO MULTIPLE VENDORS FOR THE PROVISION OF MEAT PRODUCTS AND PROVISIONS TO PREAKNESS HEALTHCARE CENTER, TO PROVIDE THE APPLICABLE SCHEDULE OF LINE ITEMS

WHEREAS, the County of Passaic (hereafter “County”) is a government body incorporated pursuant to N.J.S.A. 40:18-1, et seq. and vested with all rights contained therein; and
WHEREAS, pursuant to N.J.S.A. 40:20-1, the Board of County Commissioners for the County of Passaic (hereafter the “Board”) is vested with decision-making powers on behalf of the County; and
WHEREAS, Preakness Healthcare Center (hereafter “Preakness”) is a New Jersey Department of Health licensed, 406-bed skilled nursing facility that is owned and operated by the Board; and
WHEREAS, pursuant to N.J.S.A. 40A:11-4. for every contract awarded by the County for the provision or performance of any goods or services, the cost of which in the aggregate exceeds the bid threshold established pursuant to N.J.S.A. 40A:11-3, shall be awarded by resolution of the Board to the lowest responsible bidder after public advertising for bids and bidding thereof; and
WHEREAS, on May 6, 2025, the Purchasing Agent issued SB-25-062, Meat Products and Provisions for Preakness Healthcare Center (“SB-25-062”), in compliance with N.J.S.A. 40A:11-4, soliciting competitive pricing from qualified vendors for the goods and services sought therein; and
WHEREAS, on May 16, 2025, the Purchasing Agent unsealed responses received to SB-25-062; and
WHEREAS, the Executive Director of Preakness recommended that the Board authorize a contract with: Mivila Corp. d/b/a Mivila Foods; Jamac Frozen Food Corp.; and Cardinal Foods LLC to provide meat products and provisions to Preakness, for a total amount not to exceed seven hundred fifty thousand dollars ($750,000.00), during a term beginning on August 9, 2025 and ending on July 31, 2026, with a one-year option to renew, in accordance with the terms and conditions set forth in SB-25-062; and
WHEREAS, pursuant to N.J.S.A. 19:44A-20.4, this contract was awarded under a fair and open procurement process, which requires that a contract be: publicly advertised in sufficient time to give notice in advance of the contract; awarded under a process that provides for public solicitation of proposals or qualifications; awarded and disclosed under criteria established in writing by the public entity prior to the solicitation of proposals or qualifications; and publicly opened and announced when awarded; and
WHEREAS, pursuant to N.J.S.A. 52:32-60-1, et seq., the above-listed vendors executed the Non-Involvement in Prohibited Activities in Russia or Belarus Certification, attached to and made part of Resolution No. R-25-559, certifying that they are not involved in prohibited activities in Russia and Belarus, and the County confirmed that said vendors are not identified on the Specially Designated Nationals and Blocked Persons list created by the Office of Foreign Assets Control; and
WHEREAS, funds are available in Account Nos. 5-01-27-172-001-M02 and 5-01-27-172-001-F04, or any other account that may be deemed appropriate by the Chief Financial Officer or his designee, and the availability of funds has been contingently certified by the Chief Financial Officer subject to sufficient funds being appropriated by the Board in the 2025 and/or subsequent years’ County budget(s); and
WHEREAS, this matter was discussed at the June 10, 2025, meeting of the Health and Human Services Committee and was recommended to the Board for approval; and
WHEREAS, the Board adopted Resolution No. R-25-559 on June 17, 2025, authorizing the award of contracts for the provision of meat products and provisions to Preakness Healthcare Center, consistent with the above-described recommendations; and
WHEREAS, Resolution No. R-25-559 inadvertently omitted the applicable award sheet and schedule of line items, attached hereto as Schedule A and made a part of this Resolution, and the Board desires to amend said resolution to include this Schedule A.
NOW, THEREFORE, LET IT BE RESOLVED, the Board of County Commissioners of the County of Passaic hereby amends Resolution No. R-25-559 only to add the applicable award sheet and schedule of line items, attached hereto as Schedule A and made a part of this Resolution.
LET IT BE FURTHER RESOLVED, that all other terms and conditions set forth in Resolution No. R-25-559, to the extent not inconsistent with this Resolution, are hereby ratified and shall remain in full force and effect.
LET IT BE FURTHER RESOLVED, that the Clerk to the Board, County Counsel, Purchasing Agent, Executive Director of Preakness, and Director of the Board are authorized to take any other steps necessary to carry out the purpose of this Resolution.
