RESOLUTION AUTHORIZING CONTRACT MODIFICATION NO. 1 FOR T & M ASSOCIATES, TO PROVIDE PROFESSIONAL SERVICES FOR THE DESIGN OF AN EMERGENCY GENERATOR TO SERVE POWER TO THE COUNTY OFFICES LOCATED AT 930 RIVERVIEW DRIVE IN THE BOROUGH OF TOTOWA, PURSUANT TO N.J.A.C. 5:30-11.3 ET SEQ.

WHEREAS, the County of Passaic (hereafter “County”) is a government body incorporated pursuant to N.J.S.A. 40:18-1, et seq. and vested with all rights contained therein; and
WHEREAS, pursuant to N.J.S.A. 40:20-1, the Board of County Commissioners for the County of Passaic (hereafter “Board”) is vested with decision-making powers on behalf of the County; and
WHEREAS, pursuant to N.J.S.A. 40A:11-5, et seq., any contract the amount of which exceeds the bid threshold, may be negotiated and awarded by the governing body without public advertising for bids and bidding therefor and shall be awarded by resolution of the governing body if, the subject matter consists of professional services; and
WHEREAS, on October 25, 2022, the Board passed Resolution No. R-22-0963, qualifying a pool of engineers, architects, land surveyors, planners, landscape architects, and environmental health and safety engineers for calendar year 2023, as recommended by the Passaic County Engineer, to be hired on an as-needed basis, which included T & M Associates; and
WHEREAS, on December 28, 2023, the Board passed Resolution No. R-23-1258 authorizing an award of contract to T & M Associates, the design of an emergency generator to serve power to the County Offices located at 930 Riverview Drive in the Borough of Totowa, in an amount not to exceed sixty-four thousand seven hundred thirty dollars ($64,730.00); and
WHEREAS, pursuant to N.J.A.C. 5:30-11.3, et seq. the Board can authorize, permit, or accept change orders for work performed, services rendered, materials, supplies, or equipment delivered or provided pursuant to the conditions as set forth therein; and
WHEREAS, the Passaic County Engineer is recommending that Contract Modification No. 1 be authorized for a net addition of eight thousand eight hundred fifty dollars ($8,850.00) for ground-penetrating radar and underground utility location and plan revisions to change the location of the new generator due to conflicting construction with Emergence Church, another tenant of the property, with a new total contract award, as a result of the increase, in the amount of seventy three thousand five hundred eighty dollars ($73,580.00); and; and
WHEREAS, funds are available in Account No. C-04-55-182-002-920 or any other account that may be deemed appropriate by the Chief Financial Officer or his designee, and the availability of funds has been contingently certified by the Chief Financial Officer subject to sufficient funds being appropriated by the Board in the 2025 and/or subsequent years’ County budget(s), which is attached to and made part of this Resolution; and
WHEREAS, this matter was discussed at the September 17, 2025 meeting of the Public Works Committee and is being recommended to the Board for approval.
NOW, THEREFORE, LET IT BE RESOLVED, pursuant to N.J.A.C. 5:30-11.3, et seq., the Board of County Commissioners of the County of Passaic authorize Contract Modification No. 1 for the contract with T & M Associates, under RFQ-25-058, in the increased amount of eight thousand eight hundred fifty dollars ($8,850.00), with a new total contract award, as a result of the increase, in the amount of seventy three thousand five hundred eighty dollars ($73,580.00).
LET IT BE FURTHER RESOLVED, that the County Engineer is authorized and directed to comply with all of the general requirements for change orders as set forth in N.J.A.C. 5:30-11.3, et seq.
LET IT BE FURTHER RESOLVED, that the Clerk of the Board, County Counsel, County Engineer, and Director of Board of County Commissioners are authorized to take any other action necessary to carry out the purpose of this Resolution.
