RESOLUTION AUTHORIZING AWARD OF CONTRACTS TO MILLENNIUM COMMUNICATIONS GROUP INC. AND SHI INTERNATIONAL CORP. FOR SERVICES AND EQUIPMENT NEEDED TO EXTEND THE COUNTY’S FIBER-OPTIC NETWORK, PURSUANT TO N.J.S.A. 40A:11-10 AND N.J.S.A. 40A:11-12,

WHEREAS, the County of Passaic (“County”) is a body politic and corporate pursuant to N.J.S.A. 40:18-1 and vested with all rights contained therein; and
WHEREAS, pursuant to N.J.S.A. 40:20-1, the Board of County Commissioners of the County of Passaic (“Board”) is vested with managing the property, finances, and affairs of the County; and
WHEREAS, the County has constructed a private fiber-optic network, offering technology services that converge voice, data, and radio communications onto a single infrastructure reducing the overall cost of information technology, enabling the County to offer, among other services, hi-speed internet, wireless hot spots, and community web portals at a greatly reduced cost to participating municipalities; and
WHEREAS, pursuant to shared services agreements recently reached with additional participating municipalities, the County is in need of services and equipment to extend the County’s fiber-optic network to serve said municipalities; and
WHEREAS, pursuant to N.J.S.A. 40A:11-12, et seq, the County may, without advertising for bids, or having rejected all bids obtained pursuant to advertising thereof, purchase any goods or services under any contract(s) for such goods and services entered into on behalf of the State of New Jersey, Department of the Treasury, Division of Purchase and Property; and
WHEREAS, Millennium Communications Group Inc. has been awarded State Contract No. 22-TELE-45463 for T2989 - Communications Wiring Services, by the State of New Jersey, Department of the Treasury, Division of Purchase and Property; and
WHEREAS, the Department of Management and Information Systems received a quote from Millennium Communications Group Inc., attached hereto and made part of this Resolution, for services necessary to extend the County’s fiber-optic network to serve additional participating municipalities, for a total amount not to exceed two hundred forty-one thousand eight hundred sixty-nine dollars and one cent ($241,869.01), in accordance with State Contract No. 22-TELE-45463; and
WHEREAS, pursuant to N.J.S.A. 40A:11-10, et seq., the governing bodies of two or more contracting units may provide by joint agreement for the provision and performance of goods and services for use by their respective jurisdictions; and
WHEREAS, by virtue of Resolution No. R20170119, the County is a member of Bergen County’s New Jersey Cooperative Purchasing Alliance, which awarded a contract to multiple vendors for Computer Equipment & Peripherals, Contract #CK04, Bid #24-38, including SHI International Corp., a New Jersey corporation engaged in the business of information technology services, cloud computing services, and hardware services; and
WHEREAS, the Director of the Department of Management and Information Systems received a quote from SHI International, Corp., attached hereto and made part of this Resolution, for services and equipment necessary to support the extension of the County’s fiber-optic network to serve additional participating municipalities, for a total amount not to exceed two hundred twenty-nine thousand three hundred eighty-four dollars and twenty-two cents ($229,384.22), in accordance with Contract #CK04, Bid #24-38; and
WHEREAS, pursuant to N.J.S.A. 52:32-60.1, et seq., Millennium Communications Group Inc. and SHI International Corp. executed the Non-Involvement in Prohibited Activities in Russia or Belarus Certification, attached hereto and made part of this Resolution, certifying that they are not involved in prohibited activities in Russia and Belarus, and the County confirmed that said vendors are not identified on the Specially Designated Nationals and Blocked Persons list created by the Office of Foreign Assets Control; and
WHEREAS, funds are available in Account Nos. 5-01-44-900-003-003 or any other account that may be deemed appropriate by the Chief Financial Officer or his designee, and the availability of funds has been contingently certified by the Chief Financial Officer subject to sufficient funds being appropriated by the Board in the 2025 and/or subsequent County budget(s), which is attached hereto and made part of this Resolution; and
WHEREAS, this matter was discussed at the October 29, 2025, Administration and Finance Committee meeting, and is being recommended to the Board for approval.
NOW, THEREFORE, LET IT BE RESOLVED, pursuant to N.J.S.A. 40A:11-10 and N.J.S.A. 40A:11-12, the Board of County Commissioners of the County of Passaic authorizes contract awards to:
1) Millennium Communications Group Inc., for services necessary to extend the County’s fiber-optic network to serve additional participating municipalities, for a total amount not to exceed two hundred forty-one thousand eight hundred sixty-nine dollars and one cent ($241,869.01), in accordance with the attached quote and State Contract No. 22-TELE-45463; and
2) SHI International, Corp., for services and equipment necessary to support the extension of the County’s fiber-optic network to serve additional participating municipalities, for a total amount not to exceed two hundred twenty-nine thousand three hundred eighty-four dollars and twenty-two cents ($229,384.22), in accordance with the attached quote and Contract #CK04, Bid #24-38.
LET IT BE FURTHER RESOLVED, that the Clerk of the Board, County Counsel, Director of Management and Information Systems, Purchasing Agent, and Director of the Board are authorized to take any action necessary to carry out the purpose of this Resolution.
