RESOLUTION AUTHORIZING THE COUNTY OF PASSAIC DEPARTMENT OF PLANNING AND ECONOMIC DEVELOPMENT TO ENTER INTO PROFESSIONAL SERVICES AGREEMENT BETWEEN THE COUNTY AND THE LAND CONSERVANCY OF NEW JERSEY FOR THE PASSAIC COUNTY COMPREHENSIVE FARMLAND PRESERVATION PLAN UPDATE, PURSUANT TO N.J.S.A. 40A:11-5 AND RFQ-25-084

WHEREAS, the County of Passaic (hereafter “County”) is a body politic and corporate pursuant to N.J.S.A. 40:18-1 and vested with all rights contained therein; and
WHEREAS, pursuant to N.J.S.A. 40:20-1 the Board of County Commissioners of the County of Passaic (hereafter “Board”) is vested with managing the property, finances, and affairs of the County; and
WHEREAS, pursuant to N.J.S.A. 40A:11-5, et seq., on July 15, 2025, the Purchasing Agent issued RFQ-25-084, Expand Pool Engineers, Architects, Land Surveyors, Planners, Landscape Architects, Golf Course Architects/Designers, and Environmental and Safety/Engineering Consultants (hereafter “RFQ-25-084”) seeking qualifications for a pool of consultants for calendar year 2025, to be hired on an as-needed basis, to provide professional services to the County which included The Land Conservancy of New Jersey; and
WHEREAS, the Passaic County Agriculture Development Board (hereinafter “CADB”) was established under the State of New Jersey’s Agriculture Retention and Development Act and is part of the state’s Farmland Preservation Program; and
WHEREAS, the Director of Planning desires to enter into a Professional Services Agreement (hereinafter “Agreement”) with The Land Conservancy of New Jersey, for the Passaic County Comprehensive Farmland Preservation Plan Update (hereinafter “Plan Update”), in an amount not to exceed sixty thousand dollars ($60,000.00); and
WHEREAS, the Plan Update is required by the State of New Jersey to be eligible to secure funding from the New Jersey State Agriculture Development Committee (hereinafter “SADC”); and
WHEREAS, Passaic County is eligible to receive up to thirty thousand dollars ($30,000) in funding from the SADC for the Plan Update; and
WHEREAS, The Land Conservancy of New Jersey has provided the Director of Planning with a proposal which is attached hereto and made part of this Resolution; and
WHEREAS, the Director of Planning is recommending that the Agreement be authorized for an amount not to exceed sixty thousand dollars ($60,000.00) for the preparation and delivery of the Plan Update; and
WHEREAS, pursuant to N.J.S.A. 19:44A-20.4, this contract is being awarded under a fair and open procurement process, which requires that a contract be: publicly advertised in sufficient time to give notice in advance of the contract; awarded under a process that provides for public solicitation of proposals or qualifications; awarded and disclosed under criteria established in writing by the public entity prior to the solicitation of proposals or qualifications; and publicly opened and announced when awarded; and
WHEREAS, pursuant to N.J.S.A. 52:32-60.1, et seq., The Land Conservancy of New Jersey executed the Non-Involvement in Prohibited Activities in Russia or Belarus Certification, attached hereto and made part of this Resolution, certifying the organization is not involved in prohibited activities in Russia and Belarus, and the County confirmed that The Land Conservancy of New Jersey is not identified on the Specially Designated Nationals and Blocked Persons list created by the Office of Foreign Assets Control; and
WHEREAS, funds are available in Account Nos. G-01-41-827-025-2FP, O25-56-670-005-603, or any other account that may be deemed appropriate by the Chief Financial Officer or his designee, and the availability of funds has been contingently certified by the Chief Financial Officer subject to sufficient funds being appropriated by the Board in the 2025 and/or subsequent years’ County budget(s), which is attached to and made part of this Resolution; and
WHEREAS, this matter was discussed at the October 30, 2025, meeting of the Planning and Economic Development Committee and is being recommended to the Passaic County Board of County Commissioners for approval; and.
NOW THEREFORE, LET IT BE RESOLVED, by the Passaic County Board of County Commissioners that the County Commissioner Director and Clerk of the Board be and are hereby authorized to enter into a Professional Services Agreement with The Land Conservancy of New Jersey, for the Passaic County Comprehensive Farmland Preservation Plan Update, in an amount not to exceed sixty thousand dollars ($60,000.00), in accordance with the terms and conditions set forth in RFQ-25-084.
LET IT BE FURTHER RESOLVED, that the Clerk of the Board shall print, in the official newspaper, a brief notice stating the nature, duration, service, and amount of the contract awarded to The Land Conservancy of New Jersey, and maintain a copy of this Resolution on file and available for public inspection in the Office of the Clerk to the Board.
LET IT BE FURTHER RESOLVED, that the Clerk of the Board, County Counsel, and Director of the Board are authorized to take any action necessary to carry out the purpose of this Resolution.
