RESOLUTION EXERCISING THE SECOND ONE-YEAR OPTION TO RENEW THE CONTRACT WITH ACULABS FOR LABORATORY SERVICES FOR PREAKNESS HEALTHCARE CENTER, PURSUANT TO N.J.S.A. 40A:11-4.1, ET SEQ. AND RFP-24-012

WHEREAS, the County of Passaic (hereafter “County”) is a government body incorporated pursuant to N.J.S.A. 40:18-1, et seq. and vested with all rights contained therein; and
WHEREAS, pursuant to N.J.S.A. 40:20-1 the Board of County Commissioners for the County of Passaic (hereafter “Board”) is vested with managing the property, finances, and affairs of the County; and
WHEREAS, Preakness Healthcare Center (hereafter “Preakness” is a New Jersey Department of Health licensed 406-bed skilled nursing facility that is owned and operated by the Board; and
WHEREAS, pursuant to N.J.S.A. 40A:11-4.3, the Board approved Resolution No. R20170872 on October 24, 2017, authorizing competitive contracting to retain a provider of laboratory services for Preakness; and
WHEREAS, the Purchasing Agent issued RFP-24-012, Laboratory Services for the Passaic County Preakness Healthcare Center (“RFP-24-012”) on December 20, 2023, responses to which were unsealed on January 9, 2024; and
WHEREAS, based on the recommendations of the review committee, the Board passed Resolution No. R-24-118 on February 13, 2024, awarding a contract to Aculabs, Inc. for the provision of laboratory services to Preakness under RFP-24-012 for an amount not to exceed thirty-five thousand dollars ($35,000.00) during a one-year term from April 1, 2024 to March 31, 2025, with the County retaining four one-year options to renew; and
WHEREAS, on February 11, 2025, the Board passed Resolution No. R-25-103, exercising the first option to renew the contract with Aculabs, Inc., for an amount not to exceed fifteen thousand dollars ($15,000.00) during the one-year option term from April 1, 2025, to March 31, 2026; and
WHEREAS, the Executive Director of Preakness is recommending to exercise the second one-year option to renew the above-described contract with Aculabs, Inc. for a term commencing on April 1, 2026, and expiring on March 31, 2027, and for a total amount not to exceed thirty-six thousand dollars ($36,000.00) during such term; and
WHEREAS, funds are available in Account No. 6-01-27-172-001-M01 or any other account that may be deemed appropriate by the Chief Financial Officer or his designee, and the availability of funds has been contingently certified by the Chief Financial Officer subject to sufficient funds being appropriated by the Board in the 2026 and/or subsequent years’ County budget(s); and
WHEREAS, pursuant to N.J.S.A. 52:32-60-1, et seq., Aculabs, Inc. executed the Non-Involvement in Prohibited Activities in Russia or Belarus Certification, attached hereto and made part of this Resolution, certifying that it is not involved in prohibited activities in Russia and Belarus, and the County confirmed that Aculabs, Inc. is not identified on the Specially Designated Nationals and Blocked Persons list created by the Office of Foreign Assets Control; and
WHEREAS, this matter was discussed at the January 21, 2026, meeting of the Health and Human Services Committee and is being recommended to the Board for approval.
NOW, THEREFORE, LET IT BE RESOLVED, pursuant to N.J.S.A. 40A:11-4.1, et seq., the Board of County Commissioners of the County of Passaic hereby exercises the second option to renew the contract with Aculabs, Inc. under RFP-24-012, Laboratory Services for the Passaic County Preakness Healthcare Center, for a one-year term beginning on April 1, 2026 and expiring on March 31, 2027, for a total amount not to exceed thirty-six thousand dollars ($36,000.00) during such term.
LET IT BE FURTHER RESOLVED, that the Clerk to the Board, County Counsel, Purchasing Agent, Executive Director of Preakness, and the Director of the Board are authorized to take any action necessary to carry out the purpose of this Resolution.
