RESOLUTION AUTHORIZING THE FIRST ONE-YEAR OPTION ON A CONTRACT WITH VISUAL COMPUTER SOLUTIONS, FOR ADMINISTRATION OF AN OFF-DUTY DETAIL MANAGEMENT, RFP-24-001, PURSUANT TO N.J.S.A. 40A:11-4.1, ET SEQ.

WHEREAS, the County of Passaic (hereafter “County”) is a body politic and corporate pursuant to N.J.S.A. 40:18-1 and vested with all rights contained therein; and
WHEREAS, pursuant to N.J.S.A. 40:20-1 the Board of County Commissioners of the County of Passaic (hereafter “Board”) is vested with managing the property, finances, and affairs of the County; and
WHEREAS, N.J.S.A. 40A:11-4.1 authorizes the County to utilize competitive contracting in lieu of public bidding for procurement of specialized goods and services, the price of which exceeds the bid threshold; and
WHEREAS, N.J.S.A. 40A:11-4.1(m) specifically authorizes the County to utilize competitive contracting to vendors for consulting services; and
WHEREAS, pursuant to N.J.S.A. 40A:11-4.3, the Board of County Commissioners of the County of Passaic (hereinafter “Board”) approved Resolution No. R-23-0915, authorizing competitive contracting for consulting services to oversee and manage the off-duty job program and time management software; and
WHEREAS, thereafter the Passaic County Purchasing Agent issued RFP-24-001 Law Enforcement Off-Duty Detail Management System for the Passaic County Prosecutor’s Office (hereinafter “RFP-24-001”), responses which were opened on November 17, 2023; and
WHEREAS, pursuant to N.J.S.A. 40A:11-4.5(d), a committee was convened on December 7, 2023, to evaluate the proposals which were submitted for RFP-24-001; and
WHEREAS, pursuant to N.J.S.A. 19:44A-20.4, the County’s request for proposals is a fair and open process, specifically, the request for proposals for case management services was publicly advertised, awarded under a process that provides for public solicitation of qualifications, established the basis of an award and disclosure process documented in writing prior to any solicitation, and is publicly opened and announced when awarded; and
WHEREAS, on December 28, 2023, the Board passed Resolution No. R-23-1273, authorizing an award of contract to Visual Computer Solutions, Inc., to provide the law enforcement off-duty detail management system to the Passaic County Prosecutor’s Office for the time period of January 1, 2024, through December 31, 2026, with two (2) one-year options to renew; and
WHEREAS, there is no cost to the County for the award of this contract for services; and
WHEREAS, the Passaic County Prosecutor’s Office is now recommending that the Board exercise the first one-year option for the contract with Visual Computer Solutions, Inc., under RFP-24-001, for a term commencing January 1, 2027, and expiring December 31, 2027; and
WHEREAS, this request was reviewed at the October 6, 2026, meeting of the Law and Public Safety Committee and is recommended to the Board of for approval.
NOW, THEREFORE, LET IT BE RESOLVED, pursuant to N.J.S.A. 40A:11-4.1 et seq., the Board of County Commissioners of the County of Passaic hereby exercises the first one-year option for the contract with Visual Computer Solutions, Inc., for administration of Law Enforcement Off-Duty Detail Management Systems for the Passaic County Prosecutor’s Office for the time period of January 1, 2027, through December 31, 2027.
LET IT BE FURTHER RESOLVED, that the Clerk to the Board, County Counsel, and Director of the Board of County Commissioners of the County of Passaic are authorized to execute an agreement and take any other steps necessary to carry out the purpose of this resolution.
