RESOLUTION AUTHORIZING AN AWARD OF CONTRACT TO SHI INTERNATIONAL CORP., TO RENEW MICROSOFT OFFICE 365 SOFTWARE LICENSES FOR THE PASSAIC COUNTY SHERIFF’S OFFICE, PURSUANT TO N.J.S.A. 40A:11-10

WHEREAS, the County of Passaic (the “County”) is a government body incorporated pursuant to N.J.S.A. 40:18-1, et seq. and vested with all rights contained therein; and
WHEREAS, pursuant to N.J.S.A. 40:20-1 the Board of County Commissioners for the County of Passaic (hereinafter the “Board”) are vested with decision-making powers on behalf of the County; and
WHEREAS, pursuant to N.J.S.A. 40A:11-10, the governing bodies of two or more contracting units may provide by a joint agreement for the provision of the performance of goods and services to be used by their respective jurisdictions; and
WHEREAS, by virtue of Resolution R20170119, the County entered into the Bergen County Cooperative Contract Purchasing System # 11-BCCPS, which awarded a contract for Computer Equipment and Peripherals, Bid No. BC-BID-24-38, to multiple vendors, including SHI International, Corp.; and
WHEREAS, SHI International, Corp. provided a quote to the Passaic County Sheriff’s Office, attached to and made part of this resolution, for an annual subscription to Microsoft Office 365 licenses for the Sheriff’s Office in an amount not to exceed one hundred ninety thousand six hundred twenty-four dollars and fifty cents ($190,624.50) for the period beginning June 1, 2026 and expiring May 31, 2027; and
WHEREAS, from time to time State Contract and Cooperative Contract members change due to renewals or addition of essentially similar products; and
WHEREAS, funds are available in Account No. 6-01-22-130-002-213, or any other account that may be deemed appropriate by the Chief Financial Officer or his designee, and the availability of funds has been contingently certified by the Chief Financial Officer subject to sufficient funds being appropriated by the Board in 2026 and/or subsequent years’ County budget(s), which is attached to and made part of this Resolution; and
WHEREAS, this matter was discussed at the May 5, 2026, meeting of the Law and Public Safety Committee and is being recommended to the Board for approval; and
NOW, THEREFORE, LET IT BE RESOLVED, pursuant to N.J.S.A. 40A:11-10, the Board of County Commissioners of the County of Passaic is authorizing an award of contract to SHI International, Inc., to renew Microsoft Office 365 licenses for the Sheriff’s Office in an amount not to exceed one hundred ninety thousand six hundred twenty-four dollars and fifty cents ($190,624.50) for the period beginning June 1, 2026 and expiring May 31, 2027.
LET IT BE FURTHER RESOLVED, that the above award to SHI International Corp. is contingent upon SHI International Corp. being awarded new contracts pursuant to N.J.S.A. 40A:11-12 and N.J.S.A. 40A:11-10, respectively, in the year 2026-2027.
LET IT BE FURTHER RESOLVED, that the Clerk of the Board, County Counsel, and Director of the Board are authorized to execute the contracts and take any other steps necessary to carry out the purpose of this resolution.
