RESOLUTION AWARDING A CONTRACT TO SYSTEMS ENGINEERING TECHNOLOGY CORP., FOR PAYMENT OF A MAINTENANCE AGREEMENT FOR SPECIALIZED EQUIPMENT USED BY THE PASSAIC COUNTY PROSECUTOR’S OFFICE, PURSUANT TO N.J.S.A. 40A:11-5

WHEREAS, the County of Passaic (the “County”) is a body politic and corporate pursuant to N.J.S.A. 40:18-1 and vested with all rights contained therein; and
WHEREAS, pursuant to N.J.S.A. 40:20-1 the Board of County Commissioners of the County of Passaic (the “Board”) is vested with managing the property, finances, and affairs of the County; and
WHEREAS, the Passaic County Prosecutor’s Office (the “PCPO”) requires payment of a maintenance agreement for specialized equipment; and
WHEREAS, pursuant to N.J.S.A. 40A:11-5(dd), any contract the amount of which exceeds the bid threshold, may be negotiated and awarded by the governing body without public advertising for bids and bidding therefor and shall be awarded by resolution of the governing body if it is for the provision or performance of goods or services for the support or maintenance of proprietary computer hardware and software, except that this provision shall not be utilized to acquire or upgrade non-proprietary hardware or to acquire or update non-proprietary software; and
WHEREAS, on June 30, 2020, the Board approved Resolution No. R20200514 setting the bid threshold at forty-four thousand dollars ($44,000.00), in accordance with the law; and
WHEREAS, the PCPO obtained a quote from Systems Engineering Technology Corp., which is the sole vendor of the proprietary equipment used by the PCPO, in an amount not to exceed twenty-five thousand nine hundred sixty-five dollars ($25,965.00) for the period of January 1, 2025, through December 31, 2025; and
WHEREAS, Systems Engineering Technology Corp. c/o SyTech Corporation executed and notarized the County’s Business Entity Disclosure Certification for non-fair and open contracts required pursuant to N.J.S.A. 19:44A-20.8, which is attached to and made part of this Resolution; and
WHEREAS, pursuant to N.J.S.A. 52:32-60-1, et seq., the vendor has executed the Non-Involvement in Prohibited Activities in Russia or Belarus Certification, attached hereto and made part of this Resolution, certifying the vendor is not involved in prohibited activities in Russia and Belarus, and the County confirmed they are not identified on the Specially Designated Nationals and Blocked Persons list created by the Office of Foreign Assets Control; and
WHEREAS, funds are available in Account No. 5-01-20-109-001-219 or any other account that may be deemed appropriate by the Chief Financial Officer or his designee, and the availability of funds has been contingently certified by the Chief Financial Officer subject to sufficient funds being appropriated by the Board in the 2024 and/or subsequent years’ County budget(s), which is attached to and made part of this Resolution; and
WHEREAS, this matter was discussed by the Law and Public Safety Committee, on April 1, 2025, and is being recommended to the Board for approval; and
NOW, THEREFORE, LET IT BE RESOLVED, pursuant to N.J.S.A. 40A:11-5 et seq. that the Board of County Commissioners of the County of Passaic authorizes a contract to Systems Engineering Technology Corp C/O Sytech Corporation for an agreement maintenance for specialized equipment, in an amount not to exceed twenty-five thousand nine hundred sixty-five dollars ($25,965.00) for the period of January 1, 2025 through December 31, 2025, for use by the Passaic County Prosecutor’s Office.
LET IT BE FURTHER RESOLVED, the Clerk of the Board shall print, in the official newspaper, a brief notice stating the nature, duration, service, and amount of the contract to Systems Engineering Technology Corp. c/o SyTech Corporation and maintain a copy of the resolution on file and available for public inspection in the Office of the Clerk to the Board.
LET IT BE FURTHER RESOLVED, that the Clerk of the Board, County Counsel, and the Director of the Board are authorized to take any other steps necessary to carry out the purpose of this resolution.
