RESOLUTION AUTHORIZING MEMORANDUM OF UNDERSTANDING BETWEEN THE COUNTY OF PASSAIC, PASSAIC VALLEY WATER COMISSION, NATIONAL PARK SERVICE, NEW JERSEY STATE HISTORIC PRESERVATION OFFICE, CITY OF PATERSON, HAMILTON PARTNERSHIP OF PATERSON, AND NEW JERSEY COMMUNITY DEVELOPMENT CORPORATION, PURSUANT TO N.J.S.A. 40:20-1

WHEREAS, the County of Passaic (“County”) is a body politic and corporate pursuant to N.J.S.A. 40:18-1 and vested with all rights contained therein; and
WHEREAS, pursuant to N.J.S.A. 40:20-1, the Board of County Commissioners of the County of Passaic (“Board”) is vested with managing the property, finances, and affairs of the County; and
WHEREAS, the Passaic Valley Water Commission (“PVWC”), the United States Environmental Protection Agency, the National Park Service (“NPS”), the New Jersey State Historic Preservation Office (“NJSHPO”), the Advisory Council on Historic Preservation, the City of Paterson, and the New Jersey Development of Environmental Protection entered into a memorandum of agreement on July 2, 202, pursuant to which the PVWC agreed to deposit $2 million into an escrow account for capital rehabilitation projects on the historic Raceway System in Paterson (“Escrow Funds”); and
WHEREAS, the County, PVWC, NPS, NJSHPO, City of Paterson, Hamilton Partnership of Paterson, and New Jersey Community Development Corporation (collectively, “Parties”) have agreed to enter into a Memorandum of Understanding, attached hereto and made a part of this Resolution, which will create an organizational partnership between the Parties and additional appropriate entities identified through further consultation, governing the distribution and management of the Escrow Funds; and
WHEREAS, this matter was discussed at the November 26, 2025 Health & Human Services Committee meeting, and is being recommended to the Board for approval.
NOW, THEREFORE, LET IT BE RESOLVED, pursuant to N.J.S.A. 40:20-1, the Board of County Commissioners of the County of Passaic hereby authorizes the attached Memorandum of Understanding between the County, PVWC, NPS, NJSHPO, City of Paterson, Hamilton Partnership of Paterson, and New Jersey Community Development Corporation governing the distribution and management of the Escrow Funds for capital rehabilitation projects on the historic Raceway System in Paterson.
LET IT BE FURTHER RESOLVED, that the Clerk of the Board, County Counsel, County Administrator, and Director of the Board are authorized to take any action necessary to carry out the purpose of this Resolution.
