RESOLUTION AUTHORIZING A CONTRACT AWARD TO RIVER NORTH TRANSIT, LLC, FOR THE EXPANSATION OF THE COUNTY’S ON-DEMAND MICRO-TRANSIT PROGRAM (PASSAIC COUNTY MOVE), PURSUANT TO N.J.A.C. 40A:11-4.1 AND RFP-26-028

WHEREAS, the County of Passaic (“County”) is a body politic and corporate pursuant to N.J.S.A. 40:18-1 and vested with all rights contained therein; and

 

WHEREAS, pursuant to N.J.S.A. 40:20-1, the Board of County Commissioners of the County of Passaic (“Board”) is vested with managing the property, finances, and affairs of the County; and

 

WHEREAS, N.J.S.A. 40A:11-4.1 authorizes the County to utilize competitive contracting in lieu of public bidding for procurement of specialized goods and services, the price of which exceeds the bid threshold; and

 

WHEREAS, N.J.S.A. 40A:11-4.1(k) specifically authorizes the County to utilize competitive contracting to procure the operation, management, or administration of other services, with the approval of the Director of the Division of Local Government Services; and

 

WHEREAS, pursuant to N.J.S.A. 40A:11-4.3, on July 16, 2024, the Board passed Resolution No. R-24-0606, authorizing competitive contracting to retain an operator and administrator for micro-transit transportation services; and

 

WHEREAS, on October 22, 2024, the Board passed Resolution No. R-24-919, authorizing the award of a contract to River North Transit, LLC, to provide an on-demand micro-transit pilot program, also known as Passaic County MOVE, with a service area encompassing the cities of Clifton and Passaic, for a one (1) year contract term, commencing June 1, 2025, and expiring May 31, 2026, with four (4) one-year options to be exercised at the discretion of the Board; and

 

WHEREAS, on May 26, 2026, the Board passed Resolution No. R-26-0448, exercising the first one-year option to renew the above-described contract, for a term commencing June 1, 2026 and expiring May 31, 2027; and

 

WHEREAS, on July 9, 2026, the County’s Purchasing Agent issued RFP-26-028, Passaic County MOVE Micro-Transit Expansion (“RFP-26-028”), soliciting proposals from qualified respondents for the expansion of the Passaic County MOVE on-demand micro-transit program to additional service areas, including the City of Paterson, and responses to RFP-26-028 were unsealed on August 4, 2026; and

 

WHEREAS, in accordance with the law, a Review Committee was convened to review and rank the responses to RFP-26-028 in accordance with the methodology for awarding competitive contracts, which included technical, management, and cost-related criteria; and

 

WHEREAS, as set forth in the memorandum attached to and made part of this Resolution, the Review Committee is recommending an award of contract to River North Transit, LLC, for the expansion of the Passaic County MOVE on-demand micro-transit program, for an amount not to exceed one million sixty seven thousand six hundred nine dollars and sixty-three cents ($1,067,609.63) during an initial term from September 1, 2026 to May 31, 2027, with the County retaining three (3) one-year options to renew, contingent on availability of funds and satisfactory performance; and

 

WHEREAS, pursuant to N.J.S.A. 52:32-60.1, et seq., River North Transit, LLC, executed the Non-Involvement in Prohibited Activities in Russia or Belarus Certification, attached hereto and made part of this Resolution, certifying that it is not involved in prohibited activities in Russia and Belarus, and the County confirmed River North Transit, LLC is not identified on the Specially Designated Nationals and Blocked Persons list created by the Office of Foreign Assets Control; and

 

WHEREAS, funds are available in any account that may be deemed appropriate by the Chief Financial Officer or his designee, and the availability of funds has been contingently certified by the Chief Financial Officer subject to sufficient funds being appropriated by the Board in the 2026 and/or subsequent County budget(s), which is attached hereto and made part of this Resolution; and 

 

WHEREAS, this matter was discussed at the September 9, 2026, Administration and Finance Committee meeting, and is being recommended to the Board for approval.

 

NOW, THEREFORE, LET IT BE RESOLVED, pursuant to N.J.S.A. 40A:11-4.1, et seq., the Board of County Commissioners of the County of Passaic authorizes a contract award to River North Transit, LLC, for the expansion of the Passaic County MOVE on-demand micro-transit program, for an amount not to exceed one million sixty seven thousand six hundred nine dollars and sixty-three cents ($1,067,609.63), during an initial term from September 1, 2026 to May 31, 2027, with the County retaining three (3) one-year options to renew, in accordance with RFP-26-028 and the vendor’s response thereto.

 

LET IT BE FURTHER RESOLVED, that the Clerk of the Board shall print, in the official newspaper, a brief notice stating the nature, duration, service and amount of the contract awarded to River North Transit, LLC, and maintain a copy of this Resolution on file and available for public inspection in the Office of the Clerk to the Board.

 

LET IT BE FURTHER RESOLVED, that the Clerk of the Board, County Counsel, County Administrator, and Director of the Board are authorized to take any action necessary to carry out the purpose of this Resolution.
