RESOLUTION AUTHORIZING A HOLD HARMLESS AGREEMENT BETWEEN THE COUNTY OF PASSAIC DEPARTMENT OF HEALTH SERVICES AND 930 N. RIVERVIEW INDUSTRIAL CONDOMINIUM AND PREFERRED MANAGEMENT, INC. FOR USE OF THEIR PROPERTY LOCATED AT 930 RIVERVIEW DRIVE, TOTOWA, NEW JERSEY.

WHEREAS, the County of Passaic (hereafter “County”) is a government body incorporated pursuant to N.J.S.A. 40A18-1, et seq. and vested with all rights contained therein; and
WHEREAS, pursuant to N.J.S.A. 40:20-1, the Board of County Commissioners for the County of Passaic (hereafter “Board”) is vested with decision making powers on behalf of the County; and
WHEREAS, the Department of Health (hereafter “Department”) is responsible for protecting and promoting the health of the approximately 510,000 residents of the County; and
WHEREAS, the Passaic County Department of Health Services is in receipt of a proposed Agreement (attached hereto) by and between the County of Passaic (hereafter “County”) and 930 N. Riverview Industrial Condominium (hereafter “930”) and Preferred Management, Inc. (hereafter “Preferred”) for use of their property located at 930 Riverview Drive, Totowa, NJ 07512 on May 2, 2026 and June 6, 2026 for a Women and Men’s Health Extravaganza from 8:00 a.m. to 3:30 p.m. on both days, to be operated and managed by the County’s Department of Health Services; and
WHEREAS, in exchange for the contribution to the health and well-being of the residents, Passaic County hereby agrees to hold harmless 930 and Preferred from any claims and/or litigation arising from the County’s use of the aforementioned property; and
WHEREAS, the Agreement has been reviewed by County staff and deemed acceptable; and
WHEREAS, this matter was discussed at the April 15, 2026, meeting of the Health and Human Services Committee and is being recommended to the Passaic County Board of County Commissioners for approval;
NOW, THEREFORE, LET IT BE RESOLVED, by the Passaic County Board of County Commissioners that the County Commissioner Director and Clerk of the Board be and are hereby authorized to execute the attached Hold Harmless Agreement by and between the County of Passaic and 930 N. Riverview Industrial Condominium and Preferred Management, Inc. for use of their property located at 930 Riverview Drive, Totowa, NJ on May 2, 2026 and June 6, 2026 for a Women and Men’s Health Extravaganza from 8:00 a.m. to 3:30 p.m. on both days, to be operated and managed by the County’s Department of Health Services, as set forth above.
