RESOLUTION AUTHORIZING A NON-FAIR AND OPEN CONTRACT WITH WAYNE TILE CO. FOR THE PURCHASE OF MATERIALS FOR USE IN PREAKNESS HEALTHCARE CENTER BATHROOM RENOVATIONS, PURSUANT TO N.J.S.A. 40A:11-6.1(a)

WHEREAS, the County of Passaic (“County”) is a body politic and corporate pursuant to N.J.S.A. 40:18-1 and vested with all rights contained therein; and
WHEREAS, pursuant to N.J.S.A. 40:20-1, the Board of County Commissioners of the County of Passaic (“Board”) is vested with managing the property, finances, and affairs of the County; and
WHEREAS, Preakness Healthcare Center (“Preakness”) is a New Jersey Department of Health licensed 406-bed skilled nursing facility that is owned and operated by the Board; and
WHEREAS, Preakness is in need of tiles and other building materials for bathroom renovations; and
WHEREAS, pursuant to N.J.S.A. 40A:11-6.1(a), for all contracts that in the aggregate are less than the bid threshold but fifteen percent (15%) or more of that amount, the contracting agent shall award the contract after soliciting at least two (2) competitive quotations, if practicable; and
WHEREAS, a contract award pursuant to N.J.S.A. 40A:11-6.1(a) shall be made to the vendor whose response is most advantageous to the County, price and other factors considered; and
WHEREAS, Preakness solicited three (3) competitive quotes from local vendors for the tiles and other building materials needed; and
WHEREAS, Wayne Tile Co. provided the quote most advantageous to the County, price and other factors considered, which is attached hereto and made part of this Resolution; and
WHEREAS, the Executive Director of Preakness is seeking authorization to award a non-fair and open contract for the purchase of tiles and other building materials to Wayne Tile Co. pursuant to the attached quote, for a total amount of seventeen thousand five hundred twenty-eight dollars and eighteen cents ($17.528.18); and
WHEREAS, Wayne Tile Co. executed and notarized the County’s Business Entity Disclosure Certification for non-fair and open contracts required pursuant to N.J.S.A. 19:44A-20.8, which is attached to and made part of this resolution; and
WHEREAS, pursuant to N.J.S.A. 52:32-60-1, et seq., Wayne Tile Co. executed the Non-Involvement in Prohibited Activities in Russia or Belarus Certification, attached hereto and made part of this Resolution, certifying the vendor is not involved in prohibited activities in Russia and Belarus, and the County confirmed Wayne Tile Co. is not identified on the Specially Designated Nationals and Blocked Persons list created by the Office of Foreign Assets Control; and
WHEREAS, funds are available in Account No. C-04-55-188-002-906, or any other account that may be deemed appropriate by the Chief Financial Officer or his designee, and the availability of funds has been contingently certified by the Chief Financial Officer subject to sufficient funds being appropriated by the Board in the 2025 and/or subsequent County budget(s), which is attached hereto and made part of this Resolution; and
WHEREAS, this matter was discussed at the March 4, 2025, Health & Human Services Committee meeting, and is being recommended to the Board for approval.
NOW, THEREFORE, LET IT BE RESOLVED, pursuant to N.J.S.A. 40A:11-6.1(a), the Board of County Commissioners of the County of Passaic authorizes a non-fair and open contract with Wayne Tile Co. for the purchase of tiles and other building materials pursuant to the attached quote, for a total amount of seventeen thousand five hundred twenty-eight dollars and eighteen cents ($17.528.18).
LET IT BE FURTHER RESOLVED, that the Clerk to the Board, County Counsel, Purchasing Agent, Executive Director of Preakness, and Director of the Board are authorized to take any action necessary to carry out the purpose of this Resolution.
