RESOLUTION APPOINTING CHRISTIAN CALLEGARI TO THE PASSAIC COUNTY IMPROVEMENT AUTHORITY, PURSUANT TO N.J.S.A. 40:37A-46, ET SEQ.

WHEREAS, the County of Passaic (“County”) is a body politic and corporate pursuant to N.J.S.A. 40:18-1 and vested with all rights contained therein; and
WHEREAS, pursuant to N.J.S.A. 40:20-1, the Board of County Commissioners of the County of Passaic (“Board”) is vested with managing the property, finances, and affairs of the County; and
WHEREAS, pursuant to the County Improvement Authorities Law, N.J.S.A. 40:37A-44, et seq., the Board created the Passaic County Improvement Authority (“PCIA”); and
WHEREAS, in accordance with N.J.S.A. 40:37A-46, the PCIA shall consist of five (5) members who shall be residents of the County and who shall be appointed by resolution of the Board; and
WHEREAS, pursuant to N.J.S.A. 40:37A-48, after initial appointments, the Board may appoint members to the PCIA for a five (5) year term, expiring February 1st of the fifth year; and
WHEREAS, pursuant to N.J.S.A. 40:37A-51, members of the PCIA shall serve without compensation, but the PCIA may reimburse its members for necessary expenses incurred in the discharge of their duties; and
WHEREAS, on February 23, 2021, the Board passed Resolution No. R20210147, reappointing Dennis Marco to the PCIA for a five (5) year term, commencing March 1, 2021 and expiring March 1, 2026; and
WHEREAS, on May 21, 2024, the Board passed Resolution No. R-24-397, modifying the appointment of Mr. Marco to the PCIA to clarify that his term would expire on February 1, 2026, in accordance with N.J.S.A. 40:37A-48; and
WHEREAS, Mr. Marco has stepped down from his seat on the PCIA; and
WHEREAS, to fill the resulting vacancy, the Passaic County Administrator is recommending the appointment of Christian Callegari to the PCIA for a five (5) year term, beginning retroactively on February 1, 2026 and expiring on February 1, 2031; and
WHEREAS, Mr. Callegari is a resident of the County, in compliance with N.J.S.A. 40:37A-46, and is otherwise qualified under the County Improvement Authorities Law to serve as a member of the PCIA; and
WHEREAS, this matter was discussed at the January 21, 2026 Administration & Finance Committee meeting, and is being recommended to the Board for approval.
NOW, THEREFORE, LET IT BE RESOLVED, pursuant to N.J.S.A. 40:37A-46, et seq., the Board of County Commissioners of the County of Passaic appoints Christian Callegari to the Passaic County Improvement Authority for a five (5) year term, beginning retroactively on February 1, 2026 and expiring on February 1, 2031.
LET IT BE FURTHER RESOLVED, that pursuant to N.J.S.A. 40:37A-48, the Clerk of the Board shall send a certified copy of this Resolution to the New Jersey Secretary of State.
LET IT BE FURTHER RESOLVED, that the Clerk of the Board, County Counsel, County Administrator, and Director of the Board are authorized to take any action necessary to carry out the purpose of this Resolution.
