RESOLUTION AUTHORIZING THE AWARD OF A CONTRACT TO VARIOUS VENDORS FOR THE PROVISION OF FOOD SERVICE AND HOSPITALITY SUPPLIES TO PREAKNESS HEALTHCARE CENTER, PURSUANT TO N.J.S.A. 40A:11-10

WHEREAS, the County of Passaic (“County”) is a body politic and corporate pursuant to N.J.S.A. 40:18-1 and vested with all rights contained therein; and
WHEREAS, pursuant to N.J.S.A. 40:20-1, the Board of County Commissioners of the County of Passaic (“Board”) is vested with managing the property, finances, and affairs of the County; and
WHEREAS, Preakness Healthcare Center (“Preakness”) is a New Jersey Department of Health licensed 406-bed skilled nursing facility that is owned and operated by the Board; and
WHEREAS, pursuant to N.J.S.A. 40A:11-10, et seq., the governing bodies of two or more contracting units may provide by joint agreement for the provision and performance of goods and services for use by their respective jurisdictions; and
WHEREAS, the Purchasing Agent issued Bid No. SB-26-024, Restaurant Supply and Hospitality Catalog % Discount for County of Passaic Departments and Institutions (“SB-26-024”) in compliance with N.J.S.A. 40A:11-4, et seq., soliciting competitive bids from qualified vendors for the goods and/or services sought therein; and
WHEREAS, on May 26, 2026, the Board passed Resolution No. R-26-0482, authorizing the award of contracts to 11400 LLC and Sam Tell & Son Inc., the lowest responsible bidders under SB-26-024; and
WHEREAS, 11400 LLC and Sam Tell & Son Inc. also offered their pricing under SB-26-024 to members of the Passaic County Cooperative Pricing System (38PCCP); and
WHEREAS, the Executive Director of Preakness is requesting authorization to enter into a contract for the purchase of food service and hospitality supplies from 11400 LLC and Sam Tell & Son Inc. for Preakness, for a period from April 1, 2026, to March 31, 2028, pursuant the terms and conditions set forth in SB-26-024 and the vendors’ responses thereto, for an amount not to exceed twenty thousand dollars ($20,000.00); and
WHEREAS, pursuant to N.J.S.A. 52:32-60-1, et seq., 11400 LLC and Sam Tell & Son Inc. executed the Non-Involvement in Prohibited Activities in Russia or Belarus Certification, attached hereto and made part of this Resolution, certifying that they are not involved in prohibited activities in Russia and Belarus, and the County confirmed 11400 LLC and Sam Tell & Son Inc. are not identified on the Specially Designated Nationals and Blocked Persons list created by the Office of Foreign Assets Control; and
WHEREAS, funds are available in Account Nos. 7-01-27-172-001-223 and 7-01-27-172-001-K01, or any other account that may be deemed appropriate by the Chief Financial Officer or his designee, and the availability of funds has been contingently certified by the Chief Financial Officer subject to sufficient funds being appropriated by the Board in the 2027 and/or subsequent County budget(s), which is attached hereto and made part of this Resolution; and
WHEREAS, this matter was presented for the October 14, 2026, Health & Human Services Committee meeting, and is being recommended to the Board for approval.
NOW, THEREFORE, LET IT BE RESOLVED, pursuant to N.J.S.A. 40A:11-10, the Board of County Commissioners of the County of Passaic authorizes a contract for the purchase of food service and hospitality supplies for Preakness Healthcare Center from 11400 LLC and Sam Tell & Son Inc., for the period from April 1, 2026 to March 31, 2028, and an amount not to exceed twenty thousand dollars ($20,000.00), in accordance with the terms and conditions set forth in SB-26-024, Restaurant Supply and Hospitality Catalog % Discount for County of Passaic Departments and Institutions, and the vendors’ responses thereto.
LET IT BE FURTHER RESOLVED, that the Clerk to the Board, County Counsel, Purchasing Agent, Executive Director of Preakness, and Director of the Board are authorized to take any action necessary to carry out the purpose of this Resolution.
