RESOLUTION AUTHORIZING THE SALE OF SURPLUS PERSONAL PROPERTY ON GOVDEALS.COM, PURSUANT TO N.J.S.A. 40A:11-36

WHEREAS, the County of Passaic (“County”) is a body politic and corporate pursuant to N.J.S.A. 40:18-1 and vested with all rights contained therein; and

 

WHEREAS, pursuant to N.J.S.A. 40:20-1, the Board of County Commissioners of the County of Passaic (“Board”) is vested with managing the property, finances, and affairs of the County; and

 

WHEREAS, the County has determined that certain surplus personal property described on Schedule A, attached hereto and incorporated herein, is no longer needed for public use (“Surplus Property”); and

 

WHEREAS, on April 13, 2021, the Board approved Resolution No. R20210329, authorizing a contract with GovDeals, Inc. (“GovDeals”) for online auction services pursuant to N.J.S.A. 40A:11-4.1, et seq. and RFP-21-001 for Online Auction Services, which contract was most recently renewed by the Board on November 18, 2024 through Resolution No. R-24-980; and

 

WHEREAS, pursuant to N.J.S.A. 40A:11-36, the County’s Purchasing Agent is seeking authorization to effectuate the sale of the Surplus Property by utilizing the online auction services of GovDeals, in accordance with Local Finance Notice 2019-15 and subject to the terms and conditions of the County’s contract with GovDeals, which are available on www.GovDeals.com and in the Clerk to the Board’s office; and

 

WHEREAS, this matter was discussed at the May 14, 2025 Administration and Finance Committee meeting, and is being recommended to the Board for approval.

 

                     NOW, THEREFORE, LET IT BE RESOLVED, pursuant to N.J.S.A. 40A:11-36, the Board of County Commissioners of the County of Passaic authorizes the sale of the surplus personal property listed on the attached Schedule A (“Surplus Property”), in the following manner:

 

(1)                     The sale of the Surplus Property shall be conducted via online auction on www.GovDeals.com, subject to the terms and conditions of the agreement entered into with GovDeals, which are available online at www.GovDeals.com and are also available in the Office of the Clerk to the Board;

(2)                     The Surplus Property shall be sold in an “as-is” condition without express or implied warranties, with the successful bidder required to execute a Hold Harmless and Indemnification Agreement concerning use of said Surplus Property; and

(3)                     The County of Passaic reserves the right to reject all bids submitted for any Surplus Property if it determines such rejection to be in the public interest, and to take any subsequent actions authorized by N.J.S.A. 40A:11-36(5).

 

LET IT BE FURTHER RESOLVED, that the Purchasing Agent, County Counsel, County Administrator, and Director of the Board are authorized to take any action necessary to carry out the purpose of this Resolution.
