RESOLUTION EXERCISING THE FIRST ONE-YEAR OPTION UNDER THE CONTRACT WITH GERISCRIPT, LLC, FOR PHARMACEUTICAL SERVICES AT PREAKNESSS HEALTHCARE CENTER, PER RFP-24-036, PURSUANT TO N.J.S.A. 40A:11-4.1, ET.SEQ.

WHEREAS, the County of Passaic (hereafter “County”) is a government body incorporated pursuant to N.J.S.A. 40:18-1, et seq. and vested with all rights contained therein; and
WHEREAS, pursuant to N.J.S.A. 40:20-1 the Board of County Commissioners of the County of Passaic (hereinafter “Board”) is vested with decision making powers on behalf of the County; and
WHEREAS, Preakness Healthcare Center (hereafter “Preakness”) is a New Jersey Department of Health licensed, 406-bed skilled nursing facility that is owned and operated by the Board, and is in need of pharmaceutical services for residents of Preakness; and
WHEREAS, on October 2, 2024, the Purchasing Agent issued RFP-24-036, Preakness Healthcare Center Pharmaceutical Services (hereafter “RFP-24-036”), seeking a vendor to provide pharmaceutical services for residents at Preakness; and
WHEREAS, on November 18, 2024, the Board passed Resolution No. R-24-1011, authorizing an award of contract to Geriscript, LLC, under RFP-24-036 in the amount of three hundred fifty and 00/100 ($350,000.000), beginning December 1, 2024, and expiring November 30, 2026, with three, one-year options to renew; and
WHEREAS, pursuant to N.J.S.A. 19:44A-20.4, the County’s request for proposals is a fair and open process, specifically the request for proposals for RFP-24-036 was publicly advertised, awarded under a process that provides for public solicitation of qualifications, established the basis of an award and disclosure process documented in writing prior to any solicitation, and is publicly opened and announced when awarded; and
WHEREAS, the Executive Director of Preakness is now recommending that the Board exercise the first one-year option to renew the contract with Geriscript, LLC under RFP-24-036, for a contract period commencing December 1, 2026, and expiring November 30, 2027, in an amount not to exceed five hundred thousand dollars ($500,000.00); and
WHEREAS, funds are available in Account Nos. 6-01-27-172-001-M01 or any other account that may be deemed appropriate by the Chief Financial Officer or his designee, and the availability of funds has been contingently certified by the Chief Financial Officer subject to sufficient funds being appropriated by the Board in 2026 and/or subsequent County budget(s); and
WHEREAS, pursuant to N.J.S.A. 52:32-60-1, et seq., vendor executed the Non-Involvement in Prohibited Activities in Russia or Belarus Certification, attached hereto and made part of this Resolution, certifying the vendor is not involved in prohibited activities in Russia and Belarus, and the County confirmed vendor is not identified on the Specially Designated Nationals and Blocked Persons list created by the Office of Foreign Assets Control; and
WHEREAS, this matter was discussed at the September 9, 2026, meeting of the Health and Human Services Committee and is being recommended to the Board for approval; and
NOW, THEREFORE, LET IT BE RESOLVED, pursuant to N.J.S.A. 40A:11-4.1 et seq., the Board of County Commissioners of the County of Passaic “Board”) authorizes the first one-year option on the contract to Geriscript, LLC under RFP-24-036, in the amount of five hundred thousand dollars ($500,000.000), commencing December 1, 2026, and expiring November 30, 2027, contingent upon the 2027 budget.
LET IT BE FURTHER RESOLVED, that the Clerk to the Board, County Counsel, Executive Director of Preakness, Purchasing Agent, and the Director of the Board are authorized to take any action necessary to carry out the purpose of this Resolution.
