RESOLUTION AUTHORIZING CHANGE ORDER NO. 1 TO JOSEPH A. NATOLI CONSTRUCTION CORPORATION, FOR THE EXTERIOR RESTORATION OF THE PASSAIC COUNTY COURT HOUSE IN THE CITY OF PATERSON, PER BID C-25-001, N.J.A.C. 5:30-11.3 ET SEQ.

WHEREAS, the County of Passaic (the “County”) is a government body incorporated pursuant to N.J.S.A. 40:18-1, et seq. and vested with all rights contained therein; and

 

WHEREAS, pursuant to N.J.S.A. 40:20-1 the Board of County Commissioners for the County of Passaic (hereinafter the “Board”) are vested with decision making powers on behalf of the County; and

 

WHEREAS, pursuant to N.J.S.A. 40A:11-4, et seq., every contract awarded by the County, for the provision or performance of any goods or services, the cost of which in the aggregate exceeds the bid threshold, shall be awarded only by resolution of the Board to the lowest responsible bidder after public advertising for bids and bidding thereof; and

 

WHEREAS, pursuant to N.J.S.A. 40A:11-25, the County is authorized to establish reasonable regulations appropriate for controlling the qualifications of prospective bidders upon contracts to be awarded by the County, which may fix qualifications according to factors set forth therein, including the experience of the bidders in the contract being procured; and

 

WHEREAS, on November 18, 2024, the County passed Resolution R-24-1034 establishing the rules and regulations to bid on the Exterior Restoration of the Passaic County Courthouse; and

 

WHEREAS, pursuant to N.J.S.A. 40A:11-25, et seq., on November 19, 2024, the Purchasing Agent issued RFQ-24-084, Contractor Pre-Qualification for the Passaic County Court House Exterior Restoration in the County of Passaic (hereafter “RFQ-24-084”), seeking sealed proposals from qualified bidders for professional services for the Passaic County Court House Exterior Restoration project; and

 

WHEREAS, on December 10, 2024, the Board passed Resolution No. R-24-1171, qualifying a number of firms, including Joseph A. Natoli Construction Corporation to perform professional services as described under RFQ-24-084; and

 

WHEREAS, on December 20, 2024, the Purchasing Agent issued Bid No. C-25-001, Exterior Restoration of the Passaic County Court House (hereafter “C-25-001”) seeking sealed proposals from qualified bidders for restoration of the Passaic County Courthouse; and

 

WHEREAS, on February 25, 2025, the Board passed R-25-0154, authorizing an award of contract to Joseph A. Natoli Construction Corporation, the lowest responsible bidder under C-25-001, in an amount not to exceed eleven million forty-two thousand dollars ($11,042,000.00); and

 

WHEREAS, pursuant to N.J.A.C. 5:30-11.3, et seq. the Board can authorize, permit, or accept change orders for work performed, services rendered, materials, supplies, or equipment delivered or provided pursuant to the conditions as set forth therein; and

 

WHEREAS, the Director of the Department of Cultural & Historic Affairs is recommending that Change Order No. 1 be authorized for a net addition to the contract under C-25-001 in the amount of sixty-eight thousand eighty-five dollars ($68,085.00) due to additions of unforeseen conditions affecting the granite stairs at the Clark Street entrance of the Historic Courthouse, with a new total award amount, as a result of the increase, in the amount of eleven million one hundred ten thousand eighty-five dollars ($11,110,085.00); and

 

WHEREAS, funds are available in Account No. C-04-55-183-001-920, or any other account that may be deemed appropriate by the Chief Financial Officer or his designee, and the availability of funds has been contingently certified by the Chief Financial Officer subject to sufficient funds being appropriated by the Board in the 2025 and/or subsequent years’ County budget(s), which is attached to and made part of this Resolution; and

 

WHEREAS, this matter was discussed at the November 25, 2025 meeting of the Public Works Committee and is being recommended to the Board for approval.

 

NOW, THEREFORE, LET IT BE RESOLVED, pursuant to N.J.A.C. 5:30-11.3, et seq., the Board of County Commissioners of the County of Passaic authorize Change Order No. 1 for the contract with Joseph A. Natoli Construction Corporation, under C-25-001, for a net addition in the amount of sixty-eight thousand eighty-five dollars ($68,085.00), with a new total award amount, as a result of the increase, in the amount of eleven million one hundred ten thousand eighty-five dollars ($11,110,085.00).

 

LET IT BE FURTHER RESOLVED, that the Director of the Department of Cultural & Historic Affairs is authorized and directed to comply with all of the general requirements for change orders as set forth in N.J.A.C. 5:30-11.3, et seq.

 

LET IT BE FURTHER RESOLVED, that the Clerk of the Board, County Counsel, Director of the Department of Cultural & Historic Affairs, and Director of Board of County Commissioners are authorized to take any other action necessary to carry out the purpose of this Resolution and to execute any supporting documents required for grant reimbursement.
