RESOLUTION AUTHORIZING A ONE (1) YEAR TERM CONTRACT WITH SHI INTERNATIONAL CORPORATION TO PROVIDE 24/7 VOICE ANSWERING SERVICES THROUGH AI POLIMORPHIC, INC. FROM MAY 1, 2026 TO APRIL 30, 2027, FOR THE ROADS, PURSUANT TO N.J.S.A. 40A:11-12, ET SEQ.

WHEREAS, the County of Passaic (hereafter “County”) is a government body incorporated pursuant to N.J.S.A. 40:18-1, et seq. and vested with all rights contained therein; and
WHEREAS, pursuant to N.J.S.A. 40:20-1 the Board of County Commissioners for the County of Passaic (hereafter “Board”) are vested with decision making powers on behalf of the County; and
WHEREAS, the Roads Department provides services to ensure timely response to road-related emergencies, service requests, and public inquiries affecting public safety and County operations; and
WHEREAS, the Supervisor of Roads is requesting a resolution to purchase a one (1) year contract with AI Polimorphic for phone answering services; and
WHEREAS, pursuant to N.J.S.A. 40:11-12, the County may, without advertising for bids, or having rejected all bids obtained pursuant to advertising thereof, purchase any goods or services under any contract or contracts for such goods or services entered into on behalf of the State of New Jersey by the Division of Purchase and Property in the Department of Treasury; and
WHEREAS, SHI International Corp. provided a quote for the purchase of a one (1) year term AI Polimorphic answering service from May 1, 2026 to April 30, 2027, in an amount not to exceed forty-seven thousand seven hundred dollars ($47,700.00), attached to and made part of this resolution, which is being recommended for approval by the Supervisor of Roads; and
WHEREAS, SHI International Corp. submitted competitive pricing under the New Jersey Cooperative Purchasing Alliance Contract #CK04, Sub-Contract #24-38; and
WHEREAS, funds are available in Account No. 6-01-20-102-001-213 or any other account that may be deemed appropriate by the Chief Financial Officer or his designee, and the availability of funds has been contingently certified by the Chief Financial Officer subject to sufficient funds being appropriated by the Board in the 2026 and/or subsequent years’ County budget(s), which is attached to and made part of this Resolution; and
WHEREAS, pursuant to N.J.S.A. 52:32-60-1, et seq., vendor executed the Non-Involvement in Prohibited Activities in Russia or Belarus Certification, attached hereto and made part of this Resolution, certifying the vendor is not involved in prohibited activities in Russia and Belarus, and the County confirmed vendor is not identified on the Specially Designated Nationals and Blocked Persons list created by the Office of Foreign Assets Control; and
WHEREAS, this matter was discussed at the April 29, 2026 meeting of the Public Works Committee, and is being recommended to the Board for approval; and
NOW, THEREFORE LET IT BE RESOLVED, pursuant to N.J.S.A. 40A:11-12, the Board of County Commissioners of the County of Passaic is authorizing the purchase of a one (1) year term AI Polimorphic answering service from May 1, 2026 to April 30, 2026, in an amount not to exceed forty-seven thousand seven hundred dollars ($47,700.00), from SHI International Corp. under the New Jersey Cooperative Purchasing Alliance Contract #CK04, Sub-Contract #24-38; and
LET IT BE FURTHER RESOLVED, that the Clerk to the Board, County Counsel, and Purchasing Agent are authorized to execute an agreement and take any other steps necessary to carry out the purpose of this resolution
