RESOLUTION EXERCISING TWO-YEAR OPTION TO RENEW CONTRACT WITH CONCORD ENGINEERING GROUPS, INC. DBA CONCORD ENERGY SERVICES FOR ENERGY CONSULTING SERVICES, PURSUANT TO N.J.S.A. 40A:11-4.1, ET SEQ.

WHEREAS, the County of Passaic (“County”) is a body politic and corporate pursuant to N.J.S.A. 40:18-1 and vested with all rights contained therein; and
WHEREAS, pursuant to N.J.S.A. 40:20-1 the Board of County Commissioners of the County of Passaic (“Board”) is vested with managing the property, finances, and affairs of the County; and
WHEREAS, N.J.S.A. 40A:11-4.1 authorizes the County to utilize competitive contracting in lieu of public bidding for procurement of specialized goods and services, the price of which exceeds the bid threshold; and
WHEREAS, N.J.S.A. 40A:11-4.1(m) specifically allows the County to use competitive contracting in lieu of public bidding for procurement of specialized goods and services the price of which exceeds the bid threshold for consulting services; and
WHEREAS, pursuant to N.J.S.A. 40A:11-4.3, on August 13, 2013, the Board approved Resolution No. R2013-568, authorizing competitive contracting to retain a consultant to provide energy consulting services; and
WHEREAS, on March 22, 2022, the Purchasing Agent issued RFP-22-012, Consulting Services for Energy Advisory and Commodity Procurement for the County of Passaic (“RFP-22-012”), responses to which were received on April 13, 2022; and
WHEREAS, in accordance with the law, a review committee was convened to review the responses to RFP-22-012 and recommended the award of a contract to Concord Engineering Groups, Inc. dba Concord Energy Services (“Concord Energy”).; and
WHEREAS, on May 24, 2022, the Board adopted Resolution No. R-22-0414, authorizing the award of a contract to Concord Energy to provide energy consulting services to the County of Passaic for a three (3) year term beginning June 1, 2022 and expiring on May 31, 2025, with the County retaining one (1) two (2) year option to extend the agreement at the discretion of the Board pursuant to RFP-22-012 and Concord Energy’s response thereto; and
WHEREAS, the County Administrator is recommending that the two-year option to review the above-described contract with Concord Energy be exercised for a term beginning on June 1, 2025 and expiring on May 31, 2027; and
WHEREAS, pursuant to N.J.S.A. 52:32-60-1, et seq., Concord Energy executed the Non-Involvement in Prohibited Activities in Russia or Belarus Certification, certifying that it is not involved in prohibited activities in Russia and Belarus, and the County confirmed said vendor is not identified on the Specially Designated Nationals and Blocked Persons list created by the Office of Foreign Assets Control; and
WHEREAS, funds are available in Account No. 5-01-20-102-001-233, or in any other account that may be deemed appropriate by the Chief Financial Officer or his designee, and the availability of funds has been contingently certified by the Chief Financial Officer subject to sufficient funds being appropriated by the Board in the 2025 and/or subsequent years’ County budget(s), which is attached to and made part of this Resolution; and
WHEREAS, this matter was discussed at the February 26, 2025 meeting of the Administration and Finance Committee and is being recommended to the Board for approval.
NOW, THEREFORE, LET IT BE RESOLVED, pursuant to N.J.S.A. 40A:11-4.1, et seq., the Board of County Commissioners of the County of Passaic (“Board”) hereby exercises the two-year option to renew its contract with Concord Engineering Groups, Inc. dba Concord Energy Services (“Concord Energy”) under RFP-22-012, Consulting Services for Energy Advisory and Commodity Procurement for the County of Passaic, for a term beginning on June 1, 2025 and expiring on May 31, 2027.
LET IT BE FURTHER RESOLVED that the Clerk of the Board shall print, in the official newspaper, a brief notice stating the nature, duration, service, and amount of the contract to Concord Energy and maintain a copy of the Resolution on file and available for public inspection in the Office of the Clerk of the Board.
LET IT BE FURTHER RESOLVED that the Clerk of the Board, County Counsel, and the Director of the Board are authorized to take any other steps necessary to carry out the purpose of this resolution.
