RESOLUTION AUTHORIZING AN AGREEMENT WITH JOHNSTON G.P., INC. D/B/A JCT SOLUTION TO PROVIDE MAINTENANCE AND SUPPORT FOR THE COUNTY’S AVAYA PHONE SYSTEM, PURSUANT TO N.J.S.A. 40A:11-12

WHEREAS, the County of Passaic (“County”) is a body politic and corporate pursuant to N.J.S.A. 40:18-1 and vested with all rights contained therein; and
WHEREAS, pursuant to N.J.S.A. 40:20-1, the Board of County Commissioners of the County of Passaic (“Board”) is vested with managing the property, finances, and affairs of the County; and
WHEREAS, pursuant to N.J.S.A. 40A:11-12, et seq, the County may, without advertising for bids, or having rejected all bids obtained pursuant to advertising thereof, purchase any goods or services under any contract(s) for such goods and services entered into on behalf of the State of New Jersey, Department of the Treasury, Division of Purchase and Property; and
WHEREAS, Johnston G.P. Inc. d/b/a JCT Solution (“JCT”) has been awarded State Contract No. 80802 for T1316 - Telecommunications Equipment & Services, by the State of New Jersey, Department of the Treasury, Division of Purchase and Property; and
WHEREAS, the Department of Management and Information Systems received a quote from JCT, attached hereto and made part of this Resolution, for the provision of maintenance and support services for the County's Avaya phone system, for a term beginning on August 1, 2026 and expiring on July 31, 2027, and an amount not to exceed seventy-one thousand four hundred forty-three dollars and twenty cents ($71,443.20), in accordance with State Contract No. 80802, which is being recommended to the Board for approval; and
WHEREAS, pursuant to N.J.S.A. 52:32-60.1, et seq., JCT executed the Non-Involvement in Prohibited Activities in Russia or Belarus Certification, attached hereto and made part of this Resolution, certifying that it is not involved in prohibited activities in Russia and Belarus, and the County confirmed that JCT is not identified on the Specially Designated Nationals and Blocked Persons list created by the Office of Foreign Assets Control; and
WHEREAS, funds are available in Account Nos. 6-01-20-111-003-219 or any other account that may be deemed appropriate by the Chief Financial Officer or his designee, and the availability of funds has been contingently certified by the Chief Financial Officer subject to sufficient funds being appropriated by the Board in the 2026 and/or subsequent County budget(s), which is attached hereto and made part of this Resolution; and
WHEREAS, this matter was discussed at the July 29, 2026, Administration and Finance Committee meeting, and is being recommended to the Board for approval.
NOW, THEREFORE, LET IT BE RESOLVED, pursuant to N.J.S.A. 40A:11-12, the Board of County Commissioners of the County of Passaic authorizes the Department of Management and Information Systems to enter into an agreement with Johnston G.P. Inc. d/b/a JCT Solution for the provision of maintenance and support services for the County's Avaya phone system, for a term beginning on August 1, 2026 and expiring on July 31, 2027, and an amount not to exceed seventy-one thousand four hundred forty-three dollars and twenty cents ($71,443.20), all in accordance with the attached quote and State Contract No. 80802.
LET IT BE FURTHER RESOLVED, that the Clerk to the Board, County Counsel, Director of Management and Information Systems, Purchasing Agent, and Director of the Board are authorized to take any action necessary to carry out the purpose of this Resolution.
