RESOLUTION AUTHORIZING CHANGE ORDER NO. 2 FOR FRENCH AND PARRELLO ASSOCIATES, PA FOR ON-CALL GEOTECHNICAL TESTING FOR THE 11 MARSHALL STREET REDEVELOPMENT PROJECT IN THE CITY OF PATERSON, SB-25-005, PURSUANT TO N.J.A.C. 5:30-11.3

WHEREAS, the County of Passaic (hereafter “County”) is a government body incorporated pursuant to N.J.S.A. 40:18-1, et seq. and vested with all rights contained therein; and
WHEREAS, pursuant to N.J.S.A. 40:20-1, the Board of County Commissioners of the County of Passaic (hereafter “Board”) is vested with decision making powers on behalf of the County; and
WHEREAS, pursuant to N.J.S.A. 40A:11-4, et seq., for every contract awarded by the County for the provision or performance of any goods or services, the cost of which in the aggregate exceeds the bid threshold established pursuant to N.J.S.A. 40A:11-3, shall be awarded by resolution of the Board to the lowest responsible bidder after public advertising for bids and bidding thereof; and
WHEREAS, on October 3, 2024, the Purchasing Agent issued SB-25-005 On-Call Construction & Geotechnical Testing (hereafter “SB-25-005”) seeking sealed proposals from qualified bidders for On-Call Construction and Geotechnical Testing Services on an as-needed basis beginning on January 1, 2025, and expiring on December 31, 2026; and
WHEREAS, on November 18, 2025, the Board passed Resolution No. R-24-1058 qualifying a pool of construction and geotechnical testing companies and establishing unit prices for the On-Call Construction and Geotechnical Testing Services for a two year period beginning on January 1, 2025 and expiring on December 31, 2026, as recommended by the County Engineer to be hired on an as-needed basis, which included French and Parrello Associates, PA; and
WHEREAS, on May 27, 2025, the Board passed Resolution No. R-25-0511 authorizing an award of contract to French and Parrello Associates, PA for On-Call Geotechnical Testing Services in connection with the proposed on-call geotechnical testing for the 11 Marshall Street Redevelopment Project in the City of Paterson (hereafter “Project”), in an amount not to exceed eighty-five thousand eight hundred sixty-five dollars ($85,865.00); and
WHEREAS, pursuant to N.J.A.C. 5:30-11.3, et seq. the Board can authorize, permit, or accept change orders for work performed, services rendered, materials, supplies, or equipment delivered or provided pursuant to the conditions as set forth therein; and
WHEREAS, on December 9, 2025, the Board passed Resolution No. R-25-1197, authorizing Change Order No. 1 for the Project in the increased amount of twelve thousand two hundred fifteen dollars ($12,215.00) with a new total award amount, as a result of the increase, in the amount of ninety-eight thousand eighty dollars ($98,080.00); and
WHEREAS, the Passaic County Engineer is recommending that the Board approve Change Order No. 2 for the Project, to decommission groundwater surface elevation monitoring wells on the property, in the increased amount of three thousand two hundred fifty dollars ($3,250.00) with a new total contract amount, as a result of the increase, in the amount of one hundred one thousand three hundred thirty dollars ($101,330.00); and
WHEREAS, funds are available in Account No. C-04-55-181-001-901, or any other account that may be deemed appropriate by the Chief Financial Officer or his designee, and the availability of funds has been contingently certified by the Chief Financial Officer subject to sufficient funds being appropriated by the Board in the 2025 and/or subsequent years’ County budget(s), which is attached to and made part of this Resolution; and
WHEREAS, this matter was discussed at the May 27, 2026, meeting of the Public Works Committee and being recommended to the Board for approval.
NOW, THEREFORE, LET IT BE RESOLVED, pursuant to N.J.A.C. 5:30-11.3, that the Board of County Commissioners of the County of Passaic hereby authorizes Change Order No. 2 to French and Parrello Associates, PA for construction and geotechnical services at 11 Marshall Street in the City of Paterson in the increased amount of three thousand two hundred fifty dollars ($3,250.00) with a new total contract amount, as a result of the increase, in the amount of one hundred one thousand three hundred thirty dollars ($101,330.00).
LET IT BE FURTHER RESOLVED, that the Clerk of the Board, County Counsel, Passaic County Engineer, and Director of the Board of County Commissioners are authorized to execute the contract and take any other steps necessary to carry out the purpose of this resolution.
