RESOLUTION APPOINTING ANTHONY J. DENOVA, III AND KEITH SPILLANE TO THE PASSAIC COUNTY IMPROVEMENT AUTHORITY, PURSUANT TO N.J.S.A. 40:37A-46, ET SEQ.

WHEREAS, the County of Passaic (“County”) is a body politic and corporate pursuant to N.J.S.A. 40:18-1 and vested with all rights contained therein; and
WHEREAS, pursuant to N.J.S.A. 40:20-1, the Board of County Commissioners of the County of Passaic (“Board”) is vested with managing the property, finances, and affairs of the County; and
WHEREAS, pursuant to the County Improvement Authorities Law, N.J.S.A. 40:37A-44, et seq., the Board created the Passaic County Improvement Authority (“PCIA”); and
WHEREAS, in accordance with N.J.S.A. 40:37A-46, the PCIA shall consist of five (5) members who shall be residents of the County and who shall be appointed by resolution of the Board; and
WHEREAS, pursuant to N.J.S.A. 40:37A-48, after initial appointments, the Board may appoint members to the PCIA for a five (5) year term, expiring February 1st of the fifth year; and
WHEREAS, pursuant to N.J.S.A. 40:37A-51, members of the PCIA shall serve without compensation, but the PCIA may reimburse its members for necessary expenses incurred in the discharge of their duties; and
WHEREAS, on February 12, 2019, the Board passed Resolution No. R20190103, reappointing Wayne Alston and Michael Bradley as members of the PCIA for a five (5) year term, beginning March 1, 2019 and terminating March 1, 2024; and
WHEREAS, Mr. Alston and Mr. Bradley are no longer able to serve as members of the PCIA; and
WHEREAS, the Passaic County Administrator is recommending to appoint Anthony J. DeNova, III and Keith Spillane to the PCIA, as follows:
1. Keith Spillane, for a term commencing March 1, 2024 and expiring February 1, 2028;
2. Anthony J. DeNova, III for a term, commencing March 1, 2024 and expiring February 1, 2029; and
WHEREAS, Mr. DeNova and Mr. Spillane are residents of the County, in compliance N.J.S.A. 40:37A-46, and are otherwise qualified to serve as members of the PCIA; and
WHEREAS, this matter was discussed at the January 10, 2024 Administration & Finance Committee meeting, and is being recommended to the Board for approval; and
NOW, THEREFORE, LET IT BE RESOLVED, pursuant to N.J.S.A. 40:37A-46, et seq., the Board of County Commissioners of the County of Passaic appoints Anthony J. DeNova, III and Keith Spillane as members of the Passaic County Improvement Authority, as follows:
1. Keith Spillane, for a term commencing March 1, 2024 and expiring February 1, 2028.
2. Anthony J. DeNova, III for a term, commencing March 1, 2024 and expiring February 1, 2029.
LET IT BE FURTHER RESOLVED, that pursuant to N.J.S.A. 40:37A-48, the Clerk of the Board shall send a certified copy of this Resolution to the New Jersey Secretary of State.
LET IT BE FURTHER RESOLVED, that the Clerk of the Board, County Counsel, County Administrator, and Director of the Board are authorized to take any action necessary to carry out the purpose of this Resolution.
