RESOLUTION RATIFYING AND AUTHORIZING THE EMERGENCY PURCHASE OF WARDROBES FROM BUSINESS ENVIRONMENTS LLC FOR PREAKNESS HEALTHCARE CENTER, PURSUANT TO N.J.S.A. 40A:11-6 AND N.J.S.A. 40A:11-12

WHEREAS, the County of Passaic (“County”) is a body politic and corporate pursuant to N.J.S.A. 40:18-1 and vested with all rights contained therein; and
WHEREAS, pursuant to N.J.S.A. 40:20-1, the Board of County Commissioners of the County of Passaic (“Board”) is vested with managing the property, finances, and affairs of the County; and
WHEREAS, Preakness Healthcare Center (“Preakness”) is a New Jersey Department of Health licensed, 406 bed skilled nursing facility that is owned and operated by the Board; and
WHEREAS, during a recent annual safety survey, the surveyor identified deficiencies with the wardrobes used as closets by residents at Preakness’s facilities, presenting a safety hazard for occupants of the facilities; and
WHEREAS, N.J.S.A. 40A:11-6 provides that any contract may be negotiated or awarded without public advertising for bids and bidding, when an emergency affecting the public health, safety or welfare requires the immediate delivery of goods or the performance of services; and
WHEREAS, pursuant to N.J.S.A. 40A:11-6, the Executive Director of Preakness has recommended the emergency procurement of new resident wardrobes for Preakness, which has been approved by the County Administrator; and
WHEREAS, pursuant to N.J.S.A. 40A:11-12, the County may, without advertising for bids, or having rejected all bids obtained pursuant to advertising thereof, purchase any goods or services under any contract(s) for such goods and services entered into on behalf of the State of New Jersey, Department of the Treasury, Division of Purchase and Property; and
WHEREAS, Business Environments LLC has been awarded State Contract No. 25-COMG-94167 for G2004 Furniture: Office, Dormitory, Residential, Library, Classroom, Lounge and System - Statewide, by the State of New Jersey, Department of the Treasury, Division of Purchase and Property; and
WHEREAS, Preakness received a quote from Business Environments LLC, attached hereto and made part of this Resolution, for the purchase of one hundred and twenty (120) new wardrobes from Business Environments LLC, for a total amount not to exceed one hundred twenty-three thousand fifty-five dollars and forty-eight cents ($123,055.48), in accordance with State Contract No. 25-COMG-94167, which is being recommended to the Board for approval; and
WHEREAS, pursuant to N.J.S.A. 52:32-60.1, et seq., Business Environments LLC executed the Non-Involvement in Prohibited Activities in Russia or Belarus Certification, attached hereto and made part of this Resolution, certifying that it is not involved in prohibited activities in Russia and Belarus, and the County confirmed that Business Environments LLC is not identified on the Specially Designated Nationals and Blocked Persons list created by the Office of Foreign Assets Control; and
WHEREAS, funds are available in Account No. C-04-55-194-002-901 or any other account that may be deemed appropriate by the Chief Financial Officer or his designee, and the availability of funds has been contingently certified by the Chief Financial Officer subject to sufficient funds being appropriated by the Board in the 2026 and/or subsequent County budget(s), which is attached hereto and made part of this Resolution; and
WHEREAS, this matter was presented for the August 26, 2026, Health and Human Services Committee meeting, and is being recommended to the Board for approval.
NOW, THEREFORE, LET IT BE RESOLVED, pursuant to N.J.S.A. 40A:11-6 and N.J.S.A. 40A:11-12, the Board of County Commissioners of the County of Passaic ratifies and authorizes the emergency purchase of one hundred and twenty (120) new resident wardrobes from Business Environments LLC, for a total amount not to exceed one hundred twenty-three thousand fifty-five dollars and forty-eight cents ($123,055.48), in accordance with the attached quote and State Contract No. 25-COMG-94167.
LET IT BE FURTHER RESOLVED, that the Clerk of the Board, County Counsel, Director of the Human Resources Department, Purchasing Agent, and Director of the Board are authorized to take any action necessary to carry out the purpose of this Resolution.
