RESOLUTION AUTHORIZING AN INCREASE IN APPROPRIATION TO MIVILA CORP. D/B/A MIVILA FOODS FOR THE PROVISION OF JUICE VARIETIES FOR RESIDENTS OF PREAKNESS HEALTHCARE CENTER AND HOMEBOUND AND CONGREGATE SITES IN THE COUNTY OF PASSAIC UNDER SB-24-030, PURSUANT TO N.J.A.C. 5:30-11.10

WHEREAS, the County of Passaic (“County”) is a body politic and corporate pursuant to N.J.S.A. 40:18-1 and vested with all rights contained therein; and
WHEREAS, pursuant to N.J.S.A. 40:20-1, the Board of County Commissioners of the County of Passaic (“Board”) is vested with managing the property, finances and affairs of the County; and
WHEREAS, Preakness Healthcare Center (“Preakness”) is a New Jersey Department of Health licensed, 406-bed skilled nursing facility that is owned and operated by the Board; and
WHEREAS, on February 27, 2024, after public advertising for bids and bidding thereof, the Board adopted Resolution No. R-24-161, awarding a contract to Mivila Corp. d/b/a Mivila Foods for a one-year contract for a period April 1, 2024 through March 31, 2025, and for an amount not to exceed two hundred thousand dollars ($200,000.00), with one (1)-year option to be exercised at the discretion of the Board, in accordance with the terms and conditions set forth in SB-24-030 and the vendor’s bid response; and
WHEREAS, on February 11, 2025, the Board adopted Resolution No. R-25-101, exercising the above-described option and extending the contract with Mivila Corp. d/b/a Mivila Foods for an additional one-year term from April 1, 2025, to March 31, 2026, and for an amount not to exceed one hundred thousand dollars ($100,000); and
WHEREAS, pursuant to N.J.A.C. 5:30-11.10, the County is permitted to increase the award amount under competitively bid contracts, provided that such contracts are deemed open-end contracts, as is the case here, and as long as such increase is not for purposes such as changing the quality or character of items to be purchased; and
WHEREAS, the Executive Director of Preakness has advised that Preakness requires additional products within the scope of SB-24-030, and has accordingly requested an increase in appropriation for the above-described contract in an amount not to exceed twenty-five thousand dollars ($25,000.00); and
WHEREAS, pursuant to N.J.S.A. 52:32-60-1, et seq., Mivila Corp. d/b/a Mivila Foods executed the Non-Involvement in Prohibited Activities in Russia or Belarus Certification, attached hereto and made part of this Resolution, certifying that it is not involved in prohibited activities in Russia and Belarus, and the County confirmed that Mivila Corp. d/b/a Mivila Foods is not identified on the Specially Designated Nationals and Blocked Persons list created by the Office of Foreign Assets Control; and
WHEREAS, funds are available in Account Nos. 5-01-27-172-001-F04, 5-01-27-172-001-M02, 6-01-27-172-001-F04, and 6-01-27-172-001-M02, or any other account that may be deemed appropriate by the Chief Financial Officer or his designee, and the availability of funds has been contingently certified by the Chief Financial Officer subject to sufficient funds being appropriated by the Board in 2025 and/or subsequent County budget(s); and
WHEREAS, this matter was discussed at the February 25, 2026, meeting of the Health and Human Services Committee and is being recommended to the Board for approval.
NOW, THEREFORE, LET IT BE RESOLVED, pursuant to N.J.S.A. 40A:11-4.1 et seq., the Board of County Commissioners of the County of Passaic authorizes an increase in the appropriation for the contract with Mivila Corp. d/b/a Mivila Foods under SB-24-030, Laboratory Services for the Passaic County Preakness Healthcare Center, in an amount not to exceed twenty-five thousand dollars ($25,000.00), resulting in a new total contract amount not to exceed one hundred twenty-five thousand dollars ($125,000.00) during the current term of April 1, 2025 to March 31, 2026.
LET IT BE FURTHER RESOLVED, that the Clerk to the Board, County Counsel, Executive Director of Preakness, Purchasing Agent, and the Director of the Board are authorized to take any action necessary to carry out the purpose of this Resolution.
