RESOLUTION EXERCISING THE SECOND ONE-YEAR OPTION TO RENEW THE CONTRACT WITH AMERICAN WEAR, INC. D/B/A AMERICAN WEAR UNIFORMS FOR THE PROVISION OF UNIFORM RENTAL AND CLEANING SERVICES TO PREAKNESS HEALTHCARE CENTER, PURSUANT TO N.J.S.A. 40A:11-4, ET SEQ. AND SB-24-015

WHEREAS, the County of Passaic (“County”) is a body politic and corporate pursuant to N.J.S.A. 40:18-1 and vested with all rights contained therein; and
WHEREAS, pursuant to N.J.S.A. 40:20-1, the Board of County Commissioners of the County of Passaic (“Board”) is vested with managing the property, finances, and affairs of the County; and
WHEREAS, Preakness Healthcare Center (“Preakness”) is a New Jersey Department of Health licensed, 406-bed skilled nursing facility that is owned and operated by the Board; and
WHEREAS, pursuant to N.J.S.A. 40A:11-4, et seq., the Passaic County Purchasing Agent issued SB-24-015, Preakness Healthcare Center Security Staff Uniform Rental and Cleaning (“SB-24-015”), and after responses were to SB-24-015 were unsealed on December 7, 2023, it was determined that American Wear, Inc. d/b/a American Wear Uniforms was the lowest responsible bidder; and
WHEREAS, American Wear, Inc. d/b/a American Wear Uniforms agreed to extend pricing under the Passaic County CO-OP #38PCCP; and
WHEREAS, on February 2, 2024, the Board adopted Resolution No. R-24-33, authorizing the award of a contract to American Wear, Inc. d/b/a American Wear Uniforms to provide uniform rental and cleaning services to security staff at Preakness for a one (1) year contract award, beginning on March 1, 2024 and expiring on February 28, 2025, in an amount not to exceed twenty-eight thousand six hundred dollars ($28,600.00), with the County retaining two (2) one-year options to be exercised at the discretion of the Board; and
WHEREAS, on February 11, 2025, the Board passed Resolution R-25-100, exercising the first one-year renewal option under the above-described contract, for a term beginning on March 1, 2025 and expiring on February 28, 2026; and
WHEREAS, the Executive Director of Preakness is recommending that the Board exercise the second one-year option to renew the above-described contract with American Wear, Inc. d/b/a American Wear Uniforms for a term commencing beginning on March 1, 2026 and expiring on February 28, 2027, and an amount not to exceed twenty-two thousand dollars ($22,000.00) during such term; and
WHEREAS, pursuant to N.J.S.A. 52:32-60.1, et seq., American Wear, Inc. d/b/a American Wear Uniforms executed the Non-Involvement in Prohibited Activities in Russia or Belarus Certification, attached hereto and made part of this Resolution, certifying that it is not involved in prohibited activities in Russia and Belarus, and the County confirmed American Wear, Inc. d/b/a American Wear Uniforms is not identified on the Specially Designated Nationals and Blocked Persons list created by the Office of Foreign Assets Control; and
WHEREAS, funds are available in Account No. 6-01-27-172-001-213, or any other account that may be deemed appropriate by the Chief Financial Officer or his designee, and the availability of funds has been contingently certified by the Chief Financial Officer subject to sufficient funds being appropriated by the Board in the 2026 and/or subsequent County budget(s), which is attached hereto and made part of this Resolution; and
WHEREAS, this matter was discussed at the December 2, 2025, Health and Human Services Committee meeting, and is being recommended to the Board for approval.
NOW, THEREFORE, LET IT BE RESOLVED, pursuant to N.J.S.A. 40A:11-4, et seq., the Board of County Commissioners of the County of Passaic exercises the second one-year option to renew the contract with American Wear, Inc. d/b/a American Wear Uniforms under SB-24-015 for a term commencing beginning on March 1, 2026 and expiring on February 28, 2027, and an amount not to exceed twenty-two thousand dollars ($22,000.00) during such term.
LET IT BE FURTHER RESOLVED, that the Clerk of the Board, County Counsel, Purchasing Agent, Executive Director of Preakness, and Director of the Board are authorized to take any action necessary to carry out the purpose of this Resolution.
