RESOLUTION AUTHORIZING AN INCREASE IN APPROPRIATION FOR THE CONTRACT WITH TOP REPAIRS INC. DBA PANTHER FOR THE PROVISION OF PREVENTATIVE MAINTENANCE AND SERVICE FOR DIETARY FOOD SERVICE EQUIPMENT AT PREAKNESSS HEALTHCARE CENTER UNDER SB-25-014, PURSUANT TO N.J.A.C. 5:30-11.10

WHEREAS, the County of Passaic (“County”) is a body politic and corporate pursuant to N.J.S.A. 40:18-1 and vested with all rights contained therein; and

 

WHEREAS, pursuant to N.J.S.A. 40:20-1, the Board of County Commissioners of the County of Passaic (“Board”) is vested with managing the property, finances and affairs of the County; and

 

WHEREAS, Preakness Healthcare Center (“Preakness”) is a New Jersey Department of Health licensed, 406-bed skilled nursing facility that is owned and operated by the Board, which requires; and

 

WHEREAS, on November 12, 2024, the Purchasing Agent issued SB-25-014, Preakness Healthcare Center Preventative Maintenance and Service of Dietary Food Service Equipment (“SB-25-014”), responses to which were unsealed on November 22, 2024, following which it was determined that Top Repairs Inc. dba Panther was the lowest responsible bidder; and

 

WHEREAS, on January 21, 2025, the Board adopted Resolution No. R-25-51, authorizing the award of a contract to Top Repairs Inc. dba Panther in an amount not to exceed one hundred thousand dollars ($100,000.00) for a term beginning on March 1, 2025 and ending on February 28, 2026, with the option to renew for an additional one-year term, in accordance with SB-25-014 and the vendor’s response thereto; and

 

WHEREAS, pursuant to N.J.A.C. 5:30-11.10, the County is permitted to increase the award amount under contracts competitively bid pursuant to N.J.S.A. 40A:11-4, where such contracts are deemed open-end contracts, as is the case here; and

 

WHEREAS, due to an increased need for services covered under SB-25-014 during the above-described contract term, the Executive Director of Preakness has advised that it is necessary to increase the appropriation for the above-described contract with Top Repairs Inc. dba Panther in an amount not to exceed eight thousand dollars ($8,000.00), resulting in a new total contract amount not to exceed one hundred eight thousand dollars ($108,000.00); and

 

WHEREAS, pursuant to N.J.S.A. 52:32-60-1, et seq., Top Repairs Inc. dba Panther executed the Non-Involvement in Prohibited Activities in Russia or Belarus Certification, attached hereto and made part of this Resolution, certifying that it is not involved in prohibited activities in Russia and Belarus, and the County confirmed that Top Repairs Inc. dba Panther is not identified on the Specially Designated Nationals and Blocked Persons list created by the Office of Foreign Assets Control; and 

 

WHEREAS, funds are available in Account No. 6-01-27-172-001-219 or any other account that may be deemed appropriate by the Chief Financial Officer or his designee, and  the availability of funds has been contingently certified by the Chief Financial Officer subject to sufficient funds being appropriated by the Board in 2026 and/or subsequent County budget(s); and

 

WHEREAS, this matter was discussed at the April 15, 2026, meeting of the Health and Human Services Committee and is being recommended to the Board for approval.

 

NOW, THEREFORE, LET IT BE RESOLVED, pursuant to N.J.A.C. 5:30-11.10, the Board of County Commissioners of the County of Passaic authorizes an increase in the appropriation for the contract with Top Repairs Inc. dba Panther under SB-25-014, Preakness Healthcare Center Preventative Maintenance and Service of Dietary Food Service Equipment, in an amount not to exceed eight thousand dollars ($8,000.00), resulting in a new total contract amount not to exceed one hundred eight thousand dollars ($108,000.00) for the contract term beginning on March 1, 2025 and ending on February 28, 2026.

 

                     LET IT BE FURTHER RESOLVED, that the Clerk to the Board, County Counsel, Executive Director of Preakness, Purchasing Agent, and the Director of the Board are authorized to take any action necessary to carry out the purpose of this Resolution.
