RESOLUTION AUTHORIZING AN AWARD OF CONTRACT TO TOP REPAIRS d/b/a PANTHER FOR PREVENTATIVE MAINTENANCE, SERVICE AND REPAIRS OF DIETARY FOOD SERVICE EQUIPMENT - REFRIGERATION/FREEZER AND ICE MACHINES AT PREAKNESS HEALTHCARE CENTER, PURSUANT TO N.J.S.A. 40A:11-4, ET.SEQ. AND SB-25-014.

WHEREAS, the County of Passaic (hereafter “County”) is a government body incorporated pursuant to N.J.S.A. 40:18-1 et.seq., and vested with the rights contained therein; and
WHEREAS, pursuant to N.J.S.A. 40:20-1, et.seq., the Board of County Commissioners for the County of Passaic (hereafter the “Board”) is vested with the decision-making powers on behalf of the County; and
WHEREAS, Preakness Healthcare Center (hereafter “Preakness) is a New Jersey Department of Health licensed, 406-bed skilled nursing facility that is owned and operated by the Board; and
WHEREAS, pursuant to N.J.S.A. 40A:11-4, et.seq., for every contract awarded by the County for provision or performance of any goods or services, the cost of which in the aggregate exceeds the bid threshold established pursuant to N.J.S.A. 40A:11-3, shall be awarded by resolution of the Board to the lowest responsible bidder after public advertising for bids and bidding thereof; and
WHEREAS, the Purchasing Agent issued SB-25-014 Preakness Healthcare Center Preventative Maintenance, Service and Repairs of Dietary Food Service Equipment - Refrigeration/Freezer and Ice Machines (hereafter “SB-25-014”) in compliance with N.J.S.A. 40A:11-4, et.seq., that solicited competitive pricing from qualified vendors for the goods and services sought therein; and
WHEREAS, bid responses were opened on November 22, 2024, and after review of same, it was determined that Top Repairs, d/b/a Panther, was the lowest responsible bidder as evidenced by the Tally Sheet attached hereto and made a part of this Resolution; and
WHEREAS, the Executive Director of Preakness is recommending an award of contract to Top Repairs, d/b/a Panther for the period of March 1, 2025, through February 28, 2026 in the lump sum of one hundred thousand and 00/100 ($100,000.00) dollars with one, one year option to renew; and
WHEREAS, funds are available in Account No. 5-01-27-172-001-313 or any other account that may be deemed appropriate by the Chief Financial Officer or his designee, and the availability of funds has been contingently certified by the Chief Financial Officer subject to sufficient funds being appropriated by the Board in the 2025 and/or subsequent years’ County budget(s); and
WHEREAS, pursuant to N.J.S.A. 52:32-60-1, et seq., vendor executed the Non-Involvement in Prohibited Activities in Russia or Belarus Certification, attached hereto and made part of this Resolution, certifying the vendor is not involved in prohibited activities in Russia and Belarus, and the County confirmed vendor is not identified on the Specially Designated Nationals and Blocked Persons list created by the Office of Foreign Assets Control; and
WHEREAS, the matter was discussed at the January 14, 2025, meeting of the Health and Human Services Committee and is being recommended to the Board for approval; and
NOW, THEREFORE, LET IT BE RESOLVED, pursuant to N.J.S.A. 40A:11-4, the Board of County Commissioners of the County of Passaic (hereafter “Board”) hereby authorizes an award of Contract to Top Repairs, d/b/a Panther, for the period of March 1, 2025 through February 28, 2026, in the amount of one hundred thousand and 00/100 ($100,00.00) dollars with a one, one year option to renew for Preakness Healthcare Center in accordance with the terms and conditions as set forth in the vendor’s bid responses and SB-25-014.
LET IT BE FURTHER RESOLVED, that the Clerk to the Board, County Counsel, Purchasing Agent and Director of the Board are authorized to take any others steps necessary to carry out the purpose of this Resolution.
