RESOLUTION QUALIFYING VENDORS AND AWARDING CONTRACTS FOR RFQ-26-073: WEATHERIZATION ASSISTANCE PROGRAM RESIDENTIAL HEATING SYSTEMS UPGRADES AND REPAIRS, TO BE USED ON AN AS-NEEDED BASIS, BY THE DIVISION OF WEATHERIZATION, PURSUANT TO N.J.S.A. 40A:11-5, ET SEQ.

WHEREAS, the County of Passaic (the “County”) is a government body incorporated pursuant to N.J.S.A. 40:18-1, et seq. and vested with all rights contained therein; and
WHEREAS, pursuant to N.J.S.A. 40:20-1 the Board of County Commissioners for the County of Passaic (hereinafter the “Board”) are vested with decision-making powers on behalf of the County; and
WHEREAS, the County, through its Division of Weatherization and Home Energy (hereafter “Division”) of the Department of Senior Services administers various programs to reduce energy costs for low-income residents in Passaic County by improving energy efficiency; and
WHEREAS, pursuant to N.J.S.A. 40A:11-5, et seq., the Purchasing Agent issued RFQ-26-073: Weatherization Assistance Program Residential Heating Systems Upgrades and Repairs, seeking qualifications for a pool of qualified contractors to provide professional weatherization remediation services for residents of the County; and
WHEREAS, pursuant to N.J.S.A. 19:44A-20.4, the County’s request for qualifications is a fair and open process, specifically, the qualification for RFQ-26-073 was publicly advertised, awarded under a process that provides for public solicitation of qualifications, established the basis of an award and disclosure process documented in writing prior to any solicitation, and is publicly opened and announced when awarded; and
WHEREAS, the RFQ-26-073 scope includes 9 categories of heating systems and related work activity, and the RFQ was opened on May 27, 2026, with responsible proposals submitted by the following 2 vendors, for the specified RFQ categories:
Divine Energy Solutions, Inc. of Dover, NJ (this proposal included RFQ Categories 1-9, of 9)
TM Adams, Inc. of Saddle Brook, NJ (this proposal included RFQ Categories 1-9, of 9); and
WHEREAS, the Weatherization Division is requesting to qualify both of the two aforementioned responsible vendors for each of the RFQ categories that each vendor included in their respective proposal; and
WHEREAS, the Weatherization Division is also requesting that an amount not to exceed One Hundred Thousand and 00/100 ($100,000.00) Dollars be appropriated by the Board for contracts awarded under RFQ-26-073 on an as-needed basis for the period August 1, 2026, through July 31, 2027; and
WHEREAS, due to the fact that these vendors will be utilized on an as-needed basis, this Resolution Request is not accompanied by a Requisition. County Finance will produce a Certification of Available Funds which will confirm that the fund amount is available in the Edmunds account specified below for these vendors; and
WHEREAS, funds are available in Account No. G-01-41-707-025-213 or any other account that may be deemed appropriate by the Chief Financial Officer or his designee, and the availability of funds has been contingently certified by the Chief Financial Officer subject to sufficient funds being appropriated by the Board in the 2026 and/or subsequent years’ County budget(s), which is attached to and made part of this Resolution; and
WHEREAS, pursuant to N.J.S.A. 52:32-60-1, et seq., both vendors executed the Non-Involvement in Prohibited Activities in Russia or Belarus Certification, attached hereto and made part of this Resolution, certifying the vendor is not involved in prohibited activities in Russia and Belarus, and the County confirmed vendors are not identified on the Specially Designated Nationals and Blocked Persons list created by the Office of Foreign Assets Control; and
WHEREAS, this matter was discussed at the June 10, 2026, meeting of the Health and Human Services Committee and is being recommended to the Board for approval; and
NOW, THEREFORE, LET IT BE RESOLVED, pursuant to N.J.S.A. 40A:11-5, et seq., the Board of County Commissioners of the County of Passaic (hereafter “Board”) hereby qualifies and authorizes awards of contract for RFQ-26-073 to the following two (2) responsible vendors, for each of the specified categories that each vendor included in their respective proposals as follows:

TM Adams, Inc., of Saddle Brook, NJ
(this proposal included RFQ Categories 1-9, of 9),
for a term of August 1, 2026, through July 31, 2027, on an as-needed basis to provide heating system upgrade and repair services in an amount not to exceed One Hundred Thousand and 00/100 ($100,000.00) Dollars; and
LET IT BE FURTHER RESOLVED, the Clerk to the Board shall publish on the Public Notices page of the County’s website, a brief notice stating the nature, duration, service, and amount of the contracts to the approved vendors as stated herein and maintain a copy of the Resolution on file and available for public inspection in the Office of the Clerk to the Board; and
LET IT BE FURTHER RESOLVED, that the Clerk to the Board, County Counsel, Director to the Weatherization & Home Energy Division, and Director of the Board are authorized to take any other steps necessary to carry out the purpose of this Resolution.
