RESOLUTION EXERCISING SECOND ONE-YEAR OPTION TO RENEW CONTRACT WITH PERSELAY ASSOCIATES, INC. FOR CONSULTING SERVICES AS A CONTRACT MONITOR OF AGREEMENTS RELATED TO THE PASSAIC COUNTY JAIL, PURSUANT TO N.J.S.A. 40A:11-4.1, ET SEQ.

WHEREAS, the County of Passaic (“County”) is a body politic and corporate pursuant to N.J.S.A. 40:18-1 and vested with all rights contained therein; and
WHEREAS, pursuant to N.J.S.A. 40:20-1 the Board of County Commissioners of the County of Passaic (“Board”) is vested with managing the property, finances, and affairs of the County; and
WHEREAS, N.J.S.A. 40A:11-4.1 authorizes the County to utilize competitive contracting in lieu of public bidding for procurement of specialized goods and services, the price of which exceeds the bid threshold; and
WHEREAS, N.J.S.A. 40A:11-4.1(m) specifically allows the County to use competitive contracting in lieu of public bidding for procurement of specialized goods and services the price of which exceeds the bid threshold for consulting services; and
WHEREAS, pursuant to N.J.S.A. 40A:11-4.3, on January 25, 2022, the Board approved Resolution No. R20220027 authorizing competitive contracting to retain a consultant to provide professional assistance and monitor agreements related to the Passaic County Jail; and
WHEREAS, on February 25, 2022, the Purchasing Agent issued RFP-22-009, Contract Monitor - Passaic County Jail (“RFP-22-009”), responses to which were received on March 16, 2022; and
WHEREAS, in accordance with the law, a review committee was convened to review the responses to RFP-22-009 and recommended the award of a contract to Perselay Associates, Inc.; and
WHEREAS, on March 22, 2022, the Board adopted Resolution No. R-22-0217, authorizing the award of a contract to Perselay Associates, Inc. to provide consulting services as a contract monitor of agreements related to the Passaic County Jail for a three (3) year term beginning April 1, 2022 and expiring on March 31, 2025, with the Board retaining two (2) one (1) year options to extend the agreement at the discretion of the Board; and
WHEREAS, on December 30, 2024, the Board adopted Resolution No. R-24-1187, exercising the first one-year option to renew the above-described contract with Perselay Associates, Inc. for a term beginning on April 1, 2025, and expiring on March 31, 2026;
WHEREAS, the County Administrator is recommending that the second one-year option to renew the above-described contract with Perselay Associates, Inc. be exercised for a term beginning on April 1, 2026, and expiring on March 31, 2027, for a total amount not to exceed eighty-four thousand dollars ($84,000.00); and
WHEREAS, pursuant to N.J.S.A. 52:32-60-1, et seq., Perselay Associates, Inc. executed the Non-Involvement in Prohibited Activities in Russia or Belarus Certification, certifying that it is not involved in prohibited activities in Russia and Belarus, and the County confirmed said vendor is not identified on the Specially Designated Nationals and Blocked Persons list created by the Office of Foreign Assets Control; and
WHEREAS, funds are available in Account No. 6-01-20-102-001-233, or in any other account that may be deemed appropriate by the Chief Financial Officer or his designee, and the availability of funds has been contingently certified by the Chief Financial Officer subject to sufficient funds being appropriated by the Board in the 2026 and/or subsequent years’ County budget(s), which is attached to and made part of this Resolution; and
WHEREAS, this matter was discussed at the January 28, 2026, meeting of the Administration and Finance Committee and is being recommended to the Board for approval.
NOW, THEREFORE, LET IT BE RESOLVED, pursuant to N.J.S.A. 40A:11-4.1, et seq., the Board of County Commissioners of the County of Passaic (“Board”) hereby exercises the second one-year option to renew its contract with Perselay Associates, Inc. under RFP-22-009, Contract Monitor - Passaic County Jail, for a term beginning on April 1, 2026 and expiring on March 31, 2027, for a total amount not to exceed eighty-four thousand dollars ($84,000.00).
LET IT BE FURTHER RESOLVED that the Clerk of the Board shall print, in the official newspaper, a brief notice stating the nature, duration, service, and amount of the contract to Perselay Associates, Inc. and maintain a copy of the Resolution on file and available for public inspection in the Office of the Clerk of the Board.
LET IT BE FURTHER RESOLVED that the Clerk of the Board, County Counsel, and the Director of the Board are authorized to take any other steps necessary to carry out the purpose of this resolution.
