RESOLUTION RATIFYING AND AUTHORIZING THE EMERGENCY PURCHASE OF EVACUATUION MAPS FOR PREAKNESS HEALTHCARE CENTER FROM TPC ENTERPRISES, INC. DBA CUSTOM SIGN SOURCE, PURSUANT TO N.J.S.A. 40A:11-6

WHEREAS, the County of Passaic (“County”) is a body politic and corporate pursuant to N.J.S.A. 40:18-1 and vested with all rights contained therein; and
WHEREAS, pursuant to N.J.S.A. 40:20-1, the Board of County Commissioners of the County of Passaic (“Board”) is vested with managing the property, finances, and affairs of the County; and
WHEREAS, Preakness Healthcare Center (“Preakness”) is a New Jersey Department of Health licensed 406-bed skilled nursing facility that is owned and operated by the Board; and
WHEREAS, during a recent annual safety survey, the surveyor identified deficiencies with the evacuation diagram maps at Preakness’s facilities, presenting a safety hazard for occupants of the facilities; and
WHEREAS, N.J.S.A. 40A:11-6 provides that any contract may be negotiated or awarded without public advertising for bids and bidding, when an emergency affecting the public health, safety or welfare requires the immediate delivery of goods or the performance of services; and
WHEREAS, pursuant to N.J.S.A. 40A:11-6, the Executive Director of Preakness has recommended the emergency procurement of new evacuation maps for Preakness, which has been approved by the County Administrator; and
WHEREAS, the Executive Director of Preakness is requesting that the Board ratify and authorize the purchase of evacuation maps from TPC Enterprises, Inc. dba Custom Sign Source pursuant to the attached quote, for a total amount not to exceed nineteen thousand five hundred seventy-three dollars and thirty-eight cents ($19,573.38); and
WHEREAS, TPC Enterprises, Inc. dba Custom Sign Source executed and notarized the County’s Business Entity Disclosure Certification for non-fair and open contracts required pursuant to N.J.S.A. 19:44A-20.8, which is attached to and made part of this resolution; and
WHEREAS, pursuant to N.J.S.A. 52:32-60-1, et seq., TPC Enterprises, Inc. dba Custom Sign Source executed the Non-Involvement in Prohibited Activities in Russia or Belarus Certification, attached hereto and made part of this Resolution, certifying the vendor is not involved in prohibited activities in Russia and Belarus, and the County confirmed TPC Enterprises, Inc. dba Custom Sign Source is not identified on the Specially Designated Nationals and Blocked Persons list created by the Office of Foreign Assets Control; and
WHEREAS, funds are available in any account that may be deemed appropriate by the Chief Financial Officer or his designee, and the availability of funds has been contingently certified by the Chief Financial Officer subject to sufficient funds being appropriated by the Board in the 2026 and/or subsequent County budget(s), which is attached hereto and made part of this Resolution; and
WHEREAS, this matter was presented for the August 26, 2026, Health & Human Services Committee meeting, and is being recommended to the Board for approval.
NOW, THEREFORE, LET IT BE RESOLVED, pursuant to N.J.S.A. 40A:11-6, the Board of County Commissioners of the County of Passaic ratifies and authorizes the emergency purchase of evacuation maps for Preakness Healthcare Center from TPC Enterprises, Inc. dba Custom Sign Source pursuant to the attached quote, for a total amount not to exceed nineteen thousand five hundred seventy-three dollars and thirty-eight cents ($19,573.38).
LET IT BE FURTHER RESOLVED, that all payments for the goods provided and services performed under this contract shall be paid in accordance with N.J.S.A. 40A:11-6(b).
LET IT BE FURTHER RESOLVED, that the Clerk to the Board, County Counsel, Purchasing Agent, Executive Director of Preakness, and Director of the Board are authorized to take any action necessary to carry out the purpose of this Resolution.
