RESOLUTION AUTHORIZING AN AWARD OF CONTRACT TO 11400 LLC AND SAM TELL & SON INC. TO PROVIDE RESTAURANT SUPPLY AND HOSPITALITY CATALOG % DISCOUNT FOR COUNTY OF PASSAIC DEPARTMENTS AND INSTITUTIONS, PURSUANT TO N.J.S.A. 40A:11-4 ET SEQ. AND SB-26-024

WHEREAS, the County of Passaic (hereafter “County”) is a body politic and corporate pursuant to N.J.S.A. 40:18-1 and vested with all rights contained therein; and
WHEREAS, pursuant to N.J.S.A. 40:20-1 the Board of County Commissioners of the County of Passaic (hereafter “Board”) is vested with managing the property, finances, and affairs of the County; and
WHEREAS, pursuant to N.J.S.A. 40A:11-4, et seq., for every contract awarded by the County for the provision or performance of any goods or services, the cost of which in the aggregate exceeds the bid threshold established pursuant to N.J.S.A. 40A:11-3, shall be awarded by resolution of the Board to the lowest responsible bidder after public advertising for bids and bidding thereof; and
WHEREAS, on March 23, 2026, the Passaic County Purchasing Agent issued SB-26-024, Restaurant Supply and Hospitality Catalog % Discount for County of Passaic Departments and Institutions (“SB-26-024”) in compliance with N.J.S.A. 40A:11-4, et seq., that solicited competitive pricing from qualified vendors for the goods and services sought therein; and
WHEREAS, on April 2, 2026, bids were unsealed for SB-26-024 by the Purchasing Agent with two (2) responses received from 11400 LLC and Sam Tell & Son Inc.; and
WHEREAS, the Director of the Department of Parks and Recreation is recommending an award of contract to 11400 LLC and Sam Tell & Son Inc., for a two (2) year contract term beginning April 1, 2026 and, expiring on March 31, 2028; and
WHEREAS, 11400 LLC will provide a 10% discount on marketplace items and Sam Tell & Sons Inc. will provide a discount ranging from 3% to 65% off manufacturer prices; and
WHEREAS, the Director of the Department of Parks and Recreation is recommending that the Board authorize an appropriation in an amount not to exceed fifteen thousand dollars ($15,000.00) per year, per vendor, with a total amount appropriated in the contract term not to exceed sixty thousand dollars ($60,000.00); and
WHEREAS, 11400 LLC and Sam Tell & Son Inc., has offered its prices to members of the Passaic County Cooperative #38PCCP; and
WHEREAS, funds are available in various accounts that may be deemed appropriate by the Chief Financial Officer or his designee, and the availability of funds has been contingently certified by the Chief Financial Officer subject to sufficient funds being appropriated by the Board in the 2026 and/or subsequent County budget(s), which is attached to and made part of this Resolution; and
WHEREAS, this matter was discussed at the April 15, 2026 meeting of the Public Works Committee and is being recommended to the Board for approval.
NOW, THEREFORE, LET IT BE RESOLVED, pursuant to N.J.S.A. 40A:11-4, et seq. the Board of County Commissioners of the County of Passaic authorizes an award of contract to 11400 LLC and Sam Tell & Son Inc., for Restaurant Supply and Hospitality Catalog % Discount for the County of Passaic Departments and Institutions for a term beginning April 1, 2026 and expiring March 31, 2028.
LET IT BE FURTHER RESOLVED, that the Chief Financial Officer is authorized to appropriate fifteen thousand dollars ($15,000.00) per year, per vendor, with a total amount appropriated in the contract term not to exceed sixty thousand dollars ($60,000.00) to be used by the various County Department and Institutions on an as-needed basis.
LET IT BE FURTHER RESOLVED, that the Clerk of the Board, County Counsel, Director of the Board of County Commissioners, and Purchasing Agent are authorized to execute agreements with 11400 LLC and Sam Tell & Son Inc. and take any other steps necessary to carry out the purpose of this Resolution.
