RESOLUTION AUTHORIZING AN AFFILIATION/TRANSFER AGREEMENT WITH CHRISTIAN HEALTH CARE CENTER D/B/A CHRISTIAN HEALTH FOR RESIDENTS AT PREAKNESS HEALTHCARE CENTER, PURSUANT TO N.J.S.A. 40:20-1.

WHEREAS, the County of Passaic (hereafter the “County”) is a government body incorporated pursuant to N.J.S.A. 40:18-1 et.seq., and vested with the rights contained therein; and
WHEREAS, pursuant to N.J.S.A. 40:20-1, et.seq., the Board of County Commissioners for the County of Passaic (hereafter “Board”) are vested with the decision-making powers on behalf of the County; and
WHEREAS, Preakness Healthcare Center (hereafter “Preakness”) is a New Jersey Department of Health licensed, 406 bed skilled nursing facility that is owned and operated by the Board; and
WHEREAS, Christian Health Care Center d/b/a Christian Health is an acute care hospital licensed by the State of New Jersey and has the staff and equipment necessary to provide emergency care and hospital services; and
WHEREAS, the Executive Director of Preakness is recommending that the Board approve the Affiliation/Transfer Agreement with Christian Health to facilitate the care and transfer of patients receiving care at Preakness who may require tertiary services not available at Preakness pursuant to sound medical practice and New Jersey State requirements; and
WHEREAS, neither Preakness nor the County will be the responsible payor for the services of Christian Health; and
WHEREAS, this collaboration will be effective from March 1, 2026, through February 28, 2029, unless modified or terminated by mutual agreement; and
WHEREAS, an Affiliation/Transfer Agreement is attached and was reviewed and approved as to form and legality; and
WHEREAS, pursuant to N.J.S.A. 52:32-60-1, et seq., vendor executed the Non-Involvement in Prohibited Activities in Russia or Belarus Certification, attached hereto and made part of this Resolution, certifying the vendor is not involved in prohibited activities in Russia and Belarus, and the County confirmed vendor is not identified on the Specially Designated Nationals and Blocked Persons list created by the Office of Foreign Assets Control; and
WHEREAS, the matter was discussed at the March 11, 2026, meeting of the Health and Human Services Committee and is being recommended to the Board for approval; and
NOW, THEREFORE, LET IT BE RESOLVED, pursuant to N.J.S.A. 40:20-1, the Board of County Commissioners of the County of Passaic authorizes Preakness Healthcare Center to enter into an agreement with Christian Health Care Center d/b/a Christian Health for residents of Preakness Healthcare Center from March 1, 2026 through February 28, 2029, unless modified or terminated by mutual agreement; and
LET IT BE FURTHER RESOLVED, that the Clerk to the Board, County Counsel, Director of Human Services, and Director of the Board are authorized to take any other steps necessary to carry out the purpose of this Resolution.
